1. Acceptance: This Purchase Order constitutes a binding offer for the procurement of professional physics consultancy services. Acceptance by the Physicist shall be confirmed in writing within five (5) business days of receipt of this document. Failure to respond within the stipulated period shall be interpreted as a declination of this Purchase Order.
2. Scope and Performance: The Physicist shall perform all duties described in the line items above with the degree of skill, care, and diligence expected of a qualified professional in the field of physics operating in Canada Montreal. All deliverables must meet the technical specifications outlined in the attached Statement of Work (SOW-2025-PHY-0034).
3. Payment Schedule: Payment shall be made in three (3) equal instalments: 30% upon execution of this Purchase Order, 40% upon completion of the on-site laboratory phase (Item 1), and 30% upon final acceptance of all deliverables. Invoices shall be submitted to the Canada Montreal accounts payable department and are payable within thirty (30) days of receipt.
4. Intellectual Property: All research findings, data sets, reports, and proprietary methodologies developed by the Physicist in the course of this engagement shall become the exclusive property of QARI. The Physicist retains the right to publish general academic findings, subject to a 90-day prior review period by QARI's legal counsel.
5. Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and trade secrets encountered during the engagement in Canada Montreal. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Québec and the applicable federal laws of Canada. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Québec Association of Arbitrators.
8. Compliance: The Physicist warrants that all services shall be performed in compliance with the Canadian Occupational Health and Safety regulations, the Atomic Energy Control Act, and all applicable municipal bylaws of the City of Canada Montreal pertaining to laboratory operations and hazardous materials handling.
