- Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller. The Seller acknowledges that the Physicist to be assigned must hold a minimum of a Ph.D. in Physics or a closely related discipline and possess at least eight (8) years of post-doctoral research experience.
- Location of Work: All on-site services under this Purchase Order shall be performed at the Buyer's facility in Canada Vancouver, British Columbia. The Physicist is expected to be present on-site a minimum of three (3) days per week, with the remaining days available for remote collaboration.
- Payment Terms: Payment shall be made in quarterly instalments of $67,068.75 CAD, due within thirty (30) days of the end of each calendar quarter. Invoices must reference this Purchase Order number (PO-2025-CV-04872) and shall be submitted to the Buyer's Accounts Payable department in Canada Vancouver.
- Compliance: The Physicist shall comply with all applicable federal and provincial laws of Canada, including but not limited to the Canadian Human Rights Act, the Personal Information Protection and Electronic Documents Act (PIPEDA), and all research ethics guidelines enforced by the Canadian Tri-Council Policy Statement (TCPS 2) as applicable in Canada Vancouver.
- Intellectual Property: All research findings, data, publications, and intellectual property generated by the Physicist during the term of this Purchase Order shall be the sole property of the Buyer, subject to any prior agreements between the Seller and the Physicist.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Seller shall ensure a smooth transition of the Physicist's responsibilities and deliver all outstanding documentation to the Buyer's Canada Vancouver office.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary research data, unpublished findings, and internal communications of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver. Any disputes arising hereunder shall be resolved through arbitration in Canada Vancouver in accordance with the rules of the British Columbia International Commercial Arbitration Centre.
- Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD for the Physicist's services rendered in Canada Vancouver throughout the term of this Purchase Order.
The Physicist's engagement under this Purchase Order shall commence on July 1, 2025, at the Buyer's laboratory in Canada Vancouver. The Seller shall confirm the identity and credentials of the assigned Physicist in writing no later than June 25, 2025. Failure to confirm the Physicist by this date shall entitle the Buyer to cancel this Purchase Order without penalty.
