- This Purchase Order constitutes a binding agreement between the Andes Scientific Research Institute (hereinafter "the Buyer") and the named Physicist (hereinafter "the Service Provider") for the provision of specialized physics consulting, laboratory supervision, and academic services as described in the line items above.
- All services shall be performed at the Buyer's primary research facility located in Chile Santiago, Región Metropolitana, unless otherwise agreed in writing. The Physicist acknowledges that all work products, data, and intellectual property generated under this Purchase Order shall remain the exclusive property of the Buyer.
- The Physicist warrants that all theoretical models, experimental designs, and analytical methods delivered under this Purchase Order shall be original, free from plagiarism, and compliant with the ethical standards established by the Chilean National Commission for Scientific and Technological Research (CONICYT / Agencia Nacional de Investigación y Desarrollo).
- Payment shall be made within thirty (30) calendar days from the date of invoice receipt, provided that all deliverables have been accepted in writing by the Buyer's Project Director. Payment shall be processed via electronic bank transfer to the account specified in the vendor information section of this Purchase Order.
- The Physicist shall comply with all applicable Chilean labor regulations, tax obligations (including the issuance of a valid Factura Electrónica with the correct RUT), and data protection laws (Ley 19.628 on Personal Data Protection) in the execution of services under this Purchase Order.
- Any modification, extension, or cancellation of this Purchase Order must be documented in a written addendum signed by both parties. Verbal agreements shall not be enforceable.
- In the event of non-performance or material breach by the Physicist, the Buyer reserves the right to terminate this Purchase Order with immediate effect and to seek damages in accordance with the Chilean Civil Code and the applicable commercial regulations of Chile Santiago.
- This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from its interpretation or execution shall be submitted to the competent courts of Chile Santiago, Región Metropolitana.
This Purchase Order has been reviewed and approved by the undersigned authorized representatives of the Andes Scientific Research Institute. The Physicist named herein is hereby engaged to perform the services described above in Chile Santiago under the terms set forth in this document.
