- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the engagement of the Physicist and the procurement of associated laboratory equipment in China Guangzhou. All terms are governed by the Civil Code of the People's Republic of China and applicable Guangdong provincial regulations.
- The Physicist shall commence all professional duties no later than 01 August 2025 at the designated laboratory premises in Tianhe District, China Guangzhou. Failure to commence within five (5) business days of the required delivery date shall entitle the Purchasing Party to terminate this Purchase Order without penalty.
- Payment shall be disbursed in three (3) equal installments: 40% upon execution of this Purchase Order, 30% upon completion of the six-month midpoint review, and 30% upon final acceptance of all deliverables and equipment installation. All payments shall be made via bank transfer to the account specified in Section 2.
- The Physicist warrants that all research outputs, data analyses, and experimental designs produced under this Purchase Order shall be original, free from intellectual property infringement, and compliant with the National Science and Technology Administration of China's regulations on research conduct.
- All laboratory equipment procured under Item 05 shall be delivered to the China Guangzhou facility, installed, calibrated, and certified operational by the Physicist's technical team within thirty (30) calendar days of the commencement date. A written commissioning report shall accompany the final delivery.
- The Physicist shall maintain professional liability insurance with a minimum coverage of CNY 2,000,000 for the duration of this Purchase Order, valid within the jurisdiction of China Guangzhou and the broader Guangdong Province.
- Confidentiality: The Physicist agrees to treat all proprietary data, unpublished research findings, and institutional information encountered during the engagement as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Dispute resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Guangzhou International Arbitration Commission (CIETAC Guangzhou) for binding arbitration in China Guangzhou.
- This Purchase Order may be amended only by written addendum signed by both parties. No oral modifications shall be valid or enforceable.
- The Physicist shall comply with all local labor, safety, and environmental regulations applicable to research facilities in China Guangzhou, including those issued by the Guangzhou Municipal Science and Technology Bureau.
