This Purchase Order constitutes a binding commercial agreement governing the terms, deliverables, compensation, and obligations of both parties in connection with the Physicist's professional engagement.

The Physicist shall provide expert services in the fields of condensed matter physics, quantum optics, and applied theoretical physics as required by the Buyer's ongoing research programmes conducted at their facilities in China Shanghai. All work shall be performed in accordance with the national standards of the People's Republic of China and the specific technical requirements outlined in the attached Statement of Work (SOW-2025-QR-114).

Payment for the services rendered under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the account designated by the Physicist. The payment schedule is as follows:

• 30% advance payment (CNY 129,750.00) due within five (5) business days of the acceptance of this Purchase Order by the Physicist.
• 40% milestone payment (CNY 173,000.00) due upon completion and written acceptance of Items 01, 02, and 03 as verified by the Buyer's Chief Research Officer in China Shanghai.
• 30% final payment (CNY 129,750.00) due within ten (10) business days following the successful delivery and acceptance of Item 04 and the expiration of the Item 05 retainer period.

All payments are subject to the applicable Value Added Tax (VAT) at the prevailing rate in China Shanghai. Late payments shall incur a penalty of 0.05% per calendar day on the outstanding balance.

1. Qualification and Licensing: The Physicist warrants that they hold a valid professional registration with the Chinese Society of Physics and possess all necessary qualifications to perform the services described in this Purchase Order within China Shanghai. Any lapse in licensure shall constitute a material breach of this agreement.
2. Intellectual Property: All research outputs, data, models, and documentation produced by the Physicist in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer, unless otherwise agreed in writing. The Physicist shall not publish, disclose, or commercialize any proprietary information of the Buyer without prior written consent.
3. Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all technical data, experimental results, and internal communications encountered during the engagement in China Shanghai. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4. Compliance with Local Regulations: The Physicist shall comply with all applicable laws and regulations of the People's Republic of China, including but not limited to the Labor Contract Law, the Data Security Law, and the regulations governing foreign and domestic scientific research conducted in China Shanghai.
5. Insurance and Liability: The Physicist shall maintain professional indemnity insurance with a minimum coverage of CNY 2,000,000 for the duration of this Purchase Order. The Physicist shall be liable for any damage to equipment or facilities at the Buyer's China Shanghai premises resulting from negligence or failure to follow established safety protocols.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Physicist shall deliver all work-in-progress materials to the Buyer.
7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order. This document, together with the attached Statement of Work, forms the complete agreement between the Buyer and the Physicist regarding the engagement described herein.
