1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic, with jurisdiction vested in the competent courts of France Lyon, Département du Rhône.
2. Intellectual Property: All research findings, data sets, patents, and publications generated by the Physicist during the term of this Purchase Order shall be the exclusive property of LARI, unless otherwise stipulated in a separate written agreement.
3. Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and unpublished results encountered during the engagement in France Lyon. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4. Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination.
5. Compliance: The Physicist shall comply with all applicable French and European Union regulations, including but not limited to data protection (GDPR), research ethics, and occupational health and safety standards applicable in France Lyon.
6. Payment: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the account designated by the Physicist within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by French commercial law.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the commercial court of France Lyon for adjudication.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in France Lyon.

By signing below, both parties acknowledge and accept all terms, conditions, and financial obligations set forth in this Purchase Order. The Physicist confirms availability to commence services on or before the required delivery date and agrees to perform all duties in accordance with the highest standards of scientific integrity and professional conduct expected within the France Lyon research community.
