1. Scope of Purchase Order – Physicist ServicesThis Purchase Order is issued by Quantum Research Institute GmbH, headquartered in Germany Berlin, to formally engage the services of Dr. Anna Kowalski, a qualified Physicist specializing in theoretical and applied quantum mechanics. 3. Terms and Conditions of this Purchase Order- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, with specific reference to the commercial regulations applicable in Germany Berlin. Any disputes arising from this engagement shall be resolved by the competent courts in Berlin, Germany.
- Physicist Qualifications: The Physicist engaged under this Purchase Order must hold a doctoral degree (Dr. rer. nat.) in Physics or a closely related field from an accredited German or internationally recognized university. The Physicist must maintain professional liability insurance with a minimum coverage of €2,000,000 throughout the duration of this engagement in Germany Berlin.
- Payment Schedule: Payment shall be made in three equal installments: 40% upon acceptance of this Purchase Order, 35% upon completion of the theoretical framework deliverable (Item 03), and 25% upon final acceptance of all services. - Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, experimental results, and internal research strategies of the buyer. This obligation extends for a period of five (5) years following the termination of this Purchase Order and is governed by the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
- Working Location: All on-site services under this Purchase Order shall be performed at the buyer's research facility located at Einsteinstraße 42, 10115 Germany Berlin. The Physicist is entitled to use all laboratory equipment, computing resources, and reference libraries available at the Germany Berlin premises during working hours.
- Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) calendar days. In the event of early termination, the Physicist shall be compensated for all services rendered up to the date of termination, plus a reasonable transition fee not exceeding 10% of the remaining contract value.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, governmental restrictions in Germany Berlin, or pandemics, provided that the affected party notifies the other within five (5) business days.
- Compliance: The Physicist warrants full compliance with all applicable German labor laws, tax obligations, and professional regulations as enforced in Germany Berlin. The Physicist is responsible for all personal income tax and social security contributions arising from this engagement.
