TERMS AND CONDITIONS- Scope of Engagement: The Physicist engaged under this Purchase Order shall perform all duties in a professional and scientifically rigorous manner. The Physicist is expected to maintain the highest standards of academic integrity and to comply with all applicable German research ethics regulations, including those governed by the German Research Foundation (DFG) and the Federal Ministry of Education and Research (BMBF).
- Place of Performance: All services shall be rendered primarily at the buyer's research facility located in Germany Frankfurt, Main Tower, 12th Floor, 60311 Frankfurt am Main. Remote work from the Physicist's home institution in Germany Frankfurt is permissible for up to 20% of total contracted hours, subject to prior written approval by the Procurement Director.
- Payment Terms: Payment shall be made in three equal instalments: 40% upon execution of this Purchase Order, 40% upon completion of the midpoint review (Week 6), and the remaining 20% upon final delivery of all reports and acceptance by the buyer. All payments shall be processed via bank transfer to the account specified by the Physicist. Invoices must reference this Purchase Order number (PO-2025-FRA-PHY-0047).
- Intellectual Property: All data, models, reports, and findings generated by the Physicist during the course of this engagement shall be the exclusive property of Frankfurt Applied Sciences GmbH. The Physicist retains the right to publish generalised findings in peer-reviewed journals, provided that a 60-day prior notice is given to the buyer and no proprietary data is disclosed without written consent.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary research data, trade secrets, and unpublished results encountered during the engagement in Germany Frankfurt. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) calendar days. In the event of early termination, the buyer shall compensate the Physicist for all services rendered up to the date of termination, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Compliance: The Physicist warrants that all services provided under this Purchase Order shall comply with applicable German and European Union regulations, including data protection requirements under the GDPR (DSGVO) and occupational health and safety standards applicable to research laboratories in Germany Frankfurt.
