This Purchase Order is issued by the Max Planck Institute for Advanced Research, located in the Germany Munich metropolitan area, to formally engage the services of a qualified Physicist for the purpose of conducting advanced theoretical and experimental research support. The Physicist shall provide expert consultancy, peer review of experimental methodologies, and collaborative research development in the fields of quantum field theory, condensed matter physics, and applied particle physics. All services shall be rendered in accordance with the scientific standards upheld by institutions operating within Germany Munich and in compliance with the German Research Foundation (DFG) guidelines.
The Physicist engaged under this Purchase Order shall hold a minimum of a Doctor of Philosophy (Ph.D.) in Physics or a closely related discipline, with a documented track record of no fewer than ten (10) peer-reviewed publications in internationally recognized journals. The Physicist shall be available for on-site work at the Buyer's laboratory facilities in Germany Munich for a minimum of three (3) days per week, with the remaining time allocated to remote analytical work and report preparation.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order relating to the Physicist's services in Germany Munich shall be subject to the exclusive jurisdiction of the competent courts in Munich, Bavaria.
- Commencement & Duration: The Physicist's engagement shall commence on 1 July 2025 and shall continue for a period of six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement of both parties.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Intellectual Property: All research outputs, data, models, and publications generated by the Physicist in the course of this Purchase Order shall be the sole property of the Buyer, with the Physicist retaining the right to be listed as a co-author on resulting publications.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary data, experimental results, and institutional information encountered during the engagement in Germany Munich. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Physicist shall comply with all applicable German and European Union regulations, including but not limited to data protection requirements under the GDPR, occupational health and safety standards, and research ethics guidelines applicable in Germany Munich.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. All fees for services rendered up to the date of termination shall remain payable.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or governmental actions affecting operations in Germany Munich.
- Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of €1,000,000 per claim for the duration of the Physicist's engagement under this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Physicist in Germany Munich. This document constitutes a binding agreement upon execution by both authorized representatives.
