1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the West African Applied Sciences Institute (WAASI), headquartered in Ghana Accra, to formally engage the services of a qualified Physicist for the purpose of conducting advanced research, laboratory supervision, and technical advisory work related to the Institute's 2025–2026 Renewable Energy and Quantum Materials Research Programme. This Purchase Order constitutes a binding agreement between the parties for the professional services described herein, and all terms are governed by the laws of the Republic of Ghana, with jurisdiction vested in the courts of Ghana Accra.

- Payment Terms: Payment for services rendered under this Purchase Order shall be made in monthly installments within fourteen (14) calendar days of receipt of an approved invoice from the Physicist. All payments shall be processed via bank transfer to the account designated by the service provider, domiciled in Ghana Accra.
- Commencement and Completion: The Physicist shall commence duties no later than 1 July 2025. The full scope of work outlined in this Purchase Order shall be completed by 31 December 2025, unless otherwise extended by mutual written agreement.
- Work Location: All services shall be performed primarily at the WAASI Research Campus located in Ridge, Ghana Accra. The Physicist is expected to be present on-site a minimum of five (5) days per week, with remote work permissible only with prior written approval from the Procurement Director.
- Intellectual Property: All research findings, data, publications, and intellectual property generated by the Physicist during the term of this Purchase Order shall be the sole property of WAASI. The Physicist shall be credited as a contributing author on all resulting publications.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, experimental results, and institutional strategies of WAASI. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination.
- Compliance: The Physicist shall comply with all applicable laws and regulations of the Republic of Ghana, including but not limited to the Ghana Revenue Authority tax obligations, the National Occupational Safety Authority (NOSB) guidelines, and the standards set by the Ghana National Accreditation Service (GNAS).
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Ghana Accra. If mediation fails within sixty (60) days, the matter shall be referred to the High Court of Justice in Ghana Accra for final and binding resolution.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within Ghana Accra or the wider Ghanaian territory.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both parties. Verbal agreements shall hold no legal weight.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The undersigned Physicist confirms full availability and professional capacity to deliver the services described herein in Ghana Accra for the duration specified.
