2. Description of Purchase – Physicist Professional Services

This Purchase Order is issued by Quantum Dynamics Research Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Physicist for the purpose of providing specialized research consultancy, experimental design oversight, and technical advisory support. The Physicist shall render all professional services from the Buyer's operational facility located in India Bangalore, Karnataka, and shall comply with all applicable regulations of the Government of India pertaining to professional services, intellectual property, and data protection.

The engagement of this Physicist is critical to the Buyer's ongoing R&D programme in quantum sensor development and advanced materials characterization. The Physicist is expected to bring expertise in quantum mechanics, condensed matter physics, and computational modelling to support the project team based in India Bangalore.

4. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Buyer and the Physicist upon acceptance. All services shall be rendered at the Buyer's premises in India Bangalore, Karnataka, unless otherwise agreed in writing.
The Physicist shall maintain strict confidentiality regarding all proprietary data, research findings, and trade secrets of Quantum Dynamics Research Solutions Pvt. Ltd. A separate Non-Disclosure Agreement (NDA) executed on 10 June 2025 shall govern all confidential information.
All intellectual property generated by the Physicist during the course of this engagement, including but not limited to inventions, designs, software, and publications, shall be the exclusive property of the Buyer, in accordance with the Indian Patents Act, 1970, and the Copyright Act, 1957.
Payment shall be made via NEFT/RTGS to the bank account specified above within 30 days of receipt of a valid tax invoice. Late payments shall attract interest at 1.5% per month as per the Payment of Interest on Delay to Micro and Small Enterprises Act, 2016, if applicable.
The Physicist is engaged as an independent professional consultant and not as an employee of the Buyer. The Physicist shall be responsible for their own professional indemnity insurance and statutory tax obligations under the Income Tax Act, 1961, as applicable in India Bangalore.
The Buyer reserves the right to terminate this Purchase Order with 30 days' written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the termination date.
All disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka, India.
The Physicist shall comply with all safety protocols, laboratory standards, and regulatory requirements set by the Department of Atomic Energy (DAE) and the Bureau of Indian Standards (BIS) applicable to physics research facilities in India Bangalore.
This Purchase Order is governed by the laws of India. Any amendments must be made in writing and signed by both parties.
