This Purchase Order is issued by Advanced Research & Analytics Pvt. Ltd., Mumbai, to formally engage the services of a qualified Physicist for a period of twelve (12) months. The Physicist shall be based in India Mumbai and shall provide the following professional services as outlined below:

- This Purchase Order constitutes a binding agreement between the Buyer and the Physicist (hereinafter referred to as the "Service Provider") for the professional services described herein. All terms are governed by the laws of the Republic of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai.
- The Physicist shall perform all duties from the registered consultancy address in Mumbai, Maharashtra, India, unless prior written approval is obtained from the Buyer for remote or hybrid work arrangements.
- Payment shall be made on a monthly basis via NEFT/RTGS to the bank account designated by the Physicist. Invoices must be submitted by the 5th of each month for the preceding month's services. Payment shall be processed within fifteen (15) working days of invoice receipt.
- The Physicist shall maintain strict confidentiality regarding all proprietary data, research findings, and trade secrets of the Buyer. A separate Non-Disclosure Agreement (NDA) executed in Mumbai shall accompany this Purchase Order.
- All intellectual property developed under the scope of this Purchase Order shall vest exclusively with the Buyer. The Physicist shall assign all rights, titles, and interests in such IP to the Buyer upon creation.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of unsatisfactory performance, breach of confidentiality, or material non-compliance with the scope of work.
- The Physicist shall comply with all applicable regulations of the Indian government, including but not limited to the Income Tax Act, 1961, the Goods and Services Tax Act, 2017, and any professional conduct guidelines issued by the Indian Council of Scientific and Industrial Research (CSIR) or equivalent bodies.
- Force majeure events, including but not limited to natural disasters affecting the Mumbai metropolitan region, shall be grounds for temporary suspension of obligations under this Purchase Order, provided written notice is given within 48 hours of the event.
- This Purchase Order shall remain valid for a period of twelve (12) months from the date of issue, unless renewed in writing by both parties. Any amendments to the scope, rates, or terms must be documented as a formal addendum signed in India Mumbai.
- The Physicist is engaged as an independent contractor and not as an employee of the Buyer. No employer-employee relationship is created by this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Physicist in India Mumbai.
