This Purchase Order is issued by the National Institute of Advanced Research, New Delhi, to formally engage the services of a qualified Physicist for a period of twelve (12) months commencing 1 August 2025. The Physicist shall provide expert consultancy, research supervision, and technical advisory services as outlined below. All work shall be performed primarily at the Buyer's facility located in India New Delhi, with the option of remote collaboration as mutually agreed upon in writing.

- Scope of Work: The Physicist shall perform all duties in accordance with the research objectives established by the National Institute of Advanced Research, New Delhi. The Physicist is expected to maintain the highest standards of scientific integrity, reproducibility, and ethical conduct in all research activities conducted in India New Delhi.
- Intellectual Property: All research findings, publications, patents, and proprietary data generated during the term of this Purchase Order shall be the exclusive property of the Buyer. The Physicist shall assign all intellectual property rights in writing upon completion of each research milestone.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and unpublished research materials accessed during the engagement in India New Delhi. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the Physicist. The first payment shall be due by 30 August 2025. All payments shall be processed via bank transfer to the account designated by the Physicist.
- Taxes and Deductions: All applicable taxes, including Goods and Services Tax (GST) at the prevailing rate, and any statutory deductions under the Income Tax Act, 1961 of India, shall be deducted at source from the payments made under this Purchase Order. The Physicist shall provide a valid Tax Deduction and Collection Account Number (TAN) for compliance.
- Working Hours and Location: The Physicist shall report to the institute premises in India New Delhi on all working days between 09:00 and 17:30 hours, Monday through Friday. Additional hours may be required during critical experimental phases, for which prior written approval from the Director of Research shall be obtained.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach by the Physicist, the Buyer reserves the right to terminate immediately upon written notice. Upon termination, all institute property, data, and materials in the possession of the Physicist shall be returned within seven (7) calendar days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. The courts of New Delhi, India New Delhi, shall have exclusive jurisdiction over any matters not resolved through arbitration.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in India New Delhi.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Physicist. This document constitutes a binding agreement between the parties as of the date of the last signature.
