4.1 Payment Terms
Payment for all services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Physicist. Payment shall be processed via bank transfer to the account specified in Section 1. All amounts are denominated in Israeli New Shekels (ILS). The Physicist shall submit itemized invoices referencing this Purchase Order number (PO-IL-JER-2025-04782) for each billing period.
4.2 Delivery and Performance Location
All on-site services shall be performed at the JARC primary research facility located in Israel Jerusalem, 12 King George Street. Remote services may be conducted from the Physicist's registered office in Israel Jerusalem or any other location within the State of Israel, provided that data security protocols are maintained. The Physicist acknowledges that the Israel Jerusalem site is a controlled research environment and agrees to comply with all site security and confidentiality requirements.
4.3 Intellectual Property
All theoretical models, derivations, data analyses, and written documents produced by the Physicist in the course of this engagement shall be the exclusive intellectual property of the Jerusalem Advanced Research Consortium. The Physicist retains the right to publish findings in peer-reviewed journals only with prior written consent from JARC management, subject to a ninety-day embargo period for national security-sensitive material.
4.4 Compliance and Regulatory Adherence
The Physicist warrants that all services shall be performed in full compliance with the Israeli Atomic Energy Authority regulations, the Ministry of Science and Technology guidelines, and all applicable laws of the State of Israel. The Physicist shall maintain valid professional registration and shall notify JARC in writing within forty-eight (48) hours of any change in licensure status.
4.5 Termination
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination. JARC reserves the right to terminate immediately in the event of material breach, gross negligence, or violation of Israeli research security protocols.
4.6 Governing Law
This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
NOTE: This Purchase Order constitutes a binding procurement document. The Physicist's acceptance of this order is confirmed by signature below. All services must be performed within the borders of the State of Israel, with primary operations based in Israel Jerusalem.
