This Purchase Order is issued by Tel Aviv Advanced Research Institute (TARI) to engage the services of Dr. Miriam Harel, a qualified and licensed Physicist, for the purpose of providing specialized theoretical and applied physics consultancy in support of TARI’s ongoing quantum materials research programme. The Physicist shall deliver all services within the geographic and operational boundaries of Israel Tel Aviv, with primary work conducted at the TARI laboratory facilities located on Allenby Street, Tel Aviv. All deliverables, reports, and on-site consultations referenced in this Purchase Order shall be executed in accordance with the standards set forth by the Israel Standards Institute (SII) and the relevant regulations of the Israeli Ministry of Science and Technology.

4.1 This Purchase Order constitutes a binding agreement between Tel Aviv Advanced Research Institute and the named Physicist upon signature by both parties. All terms are governed by the laws of the State of Israel, and any disputes arising from this Purchase Order shall be resolved in the competent courts of Tel Aviv, Israel.

4.2 The Physicist shall maintain all professional liability insurance and malpractice coverage as required by the Israeli Physicists’ Professional Association for the full duration of the engagement. Proof of insurance shall be submitted to TARI procurement no later than five (5) business days prior to the commencement of services.

4.3 Payment terms: Net 30 days from the date of invoice submission. Invoices shall be issued in Israeli New Shekels (ILS) and submitted electronically to [email protected]. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (Hokhach Ha-Ma'acharim).

4.4 All intellectual property, data, and research outputs generated by the Physicist during the course of this engagement shall be the exclusive property of TARI. The Physicist agrees to sign a non-disclosure agreement (NDA) prior to accessing any classified or proprietary materials within the Israel Tel Aviv research facilities.

4.5 The Physicist is engaged as an independent contractor and not as an employee of TARI. The Physicist is responsible for all personal income tax obligations under the Israeli Tax Authority (Mis-Hevra Le-Ms) regulations.

4.6 Cancellation: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of early termination by TARI without cause, the Physicist shall be compensated for all services rendered up to the termination date plus a 10% administrative fee.

4.7 All work related to this Purchase Order shall be performed in compliance with the Israeli Labor Law, the Privacy Protection Law (5741-1981), and applicable data protection regulations enforced by the Israel Privacy Protection Authority.

The Physicist shall commence services on 1 July 2025 and shall complete all deliverables no later than 30 September 2025. All on-site work shall take place at the TARI facility in Tel Aviv, Israel, Monday through Friday, 08:00–17:00 (Israel Standard Time). The Physicist shall submit a weekly progress report to the TARI Project Director every Friday by 16:00.

This Purchase Order is valid only when signed and stamped by both parties. A copy of this document shall be retained by the Physicist and by TARI’s procurement office in Tel Aviv, Israel.
