This Purchase Order is issued by Istituto di Ricerca Avanzata del Sud S.r.l. (hereinafter referred to as the "Client"), a research institution headquartered in Naples, Italy, to formally engage the services of a qualified Physicist for the duration and scope described herein. The Physicist, Prof. Dott. Marco Esposito, shall provide expert consultancy, laboratory oversight, and analytical support in the fields of quantum field theory, high-energy particle physics, and applied spectroscopy. All services shall be rendered primarily at the Client’s research facility located in the historic centre of Naples, Italy, with the possibility of remote collaboration as mutually agreed upon.
The engagement of this Physicist is critical to the Client’s ongoing research programme funded under the Italian National Research Plan (PNRR) and the European Horizon Europe framework. The Physicist shall be responsible for designing experimental protocols, supervising junior research staff, reviewing theoretical models, and presenting findings at international conferences. The scope of work is specific to the Naples research campus and its affiliated laboratories in the Campania region.

Payment for this Purchase Order shall be made in three equal instalments of EUR 44,326.67 each, due on the 1st of the third, sixth, and ninth months following the commencement date. Payment shall be executed via bank transfer to the account designated by the Physicist, in accordance with Italian commercial law (Codice Civile, Libro V). Late payments shall accrue interest at the rate established by the Bank of Italy for overdue commercial transactions. All invoices must reference this Purchase Order number (PO-2025-NAP-0472) and include the Client’s VAT registration number.
- Governing Law: This Purchase Order and the services described herein shall be governed by and interpreted in accordance with the laws of the Italian Republic. Any disputes shall be subject to the exclusive jurisdiction of the Tribunale di Napoli (Naples Court), Italy.
- Commencement: The Physicist shall commence services on 1 July 2025 at the Client’s premises in Naples, Italy, unless otherwise agreed in writing.
- Intellectual Property: All research outputs, data sets, theoretical models, and publications arising from this engagement shall be jointly owned by the Client and the Physicist, with primary publication rights vested in the Client’s Naples research group.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, experimental parameters, and unpublished findings encountered during the engagement, in compliance with Italian data protection regulations (GDPR and D.Lgs. 196/2003).
- Termination: Either party may terminate this Purchase Order with 30 days’ written notice. In the event of early termination, the Client shall be liable for services rendered up to the termination date plus a 10% administrative fee.
- Compliance: The Physicist warrants that all services shall be performed in full compliance with Italian professional regulations, radiation safety standards (D.Lgs. 101/2020), and the ethical guidelines of the Italian Physical Society (Società Italiana di Fisica).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Naples metropolitan area, government-mandated closures, or pandemics.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. The Physicist confirms availability and professional capacity to deliver the services described, and the Client confirms the financial commitment outlined in Section 3. This document constitutes a binding commercial agreement under Italian law.
