This Purchase Order authorizes the engagement of the above-named Physicist to provide specialized scientific consultancy, experimental design oversight, and peer-review services for the Rome-based research programme. The Physicist shall deliver the following scope of work within the territory of Rome, Italy, and its immediate metropolitan area:

All services described in this Purchase Order shall be performed primarily at the buyer’s facility located in Rome, Italy, or at the Physicist’s registered office in central Rome. Any travel within the Lazio region of Italy required to fulfil the obligations under this Purchase Order is included in the quoted rates. The Physicist confirms availability to work on-site in Rome, Italy, no fewer than three (3) days per week throughout the contract period.

Payment shall be made in Euro (EUR) via bank transfer to the account designated by the Physicist. The total amount of € 31,050.00 shall be settled in three (3) equal instalments of € 10,350.00, due at the following milestones:

• Instalment 1: Upon execution of this Purchase Order and commencement of services in Rome, Italy (due 21 June 2025).
• Instalment 2: Upon delivery and acceptance of the theoretical framework report (due 15 August 2025).
• Instalment 3: Upon completion of all remaining services and final acceptance (due 30 September 2025).

Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree No. 231/2002. All invoices must reference this Purchase Order number (PO-IT-ROME-2025-0487) and include the Physicist’s P.IVA for compliance with Italian fiscal regulations.

1. This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from its interpretation or performance shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.
2. The Physicist warrants that all work delivered under this Purchase Order shall be original, free from intellectual-property encumbrances, and conducted in accordance with the ethical standards of the Italian Physical Society (Società Italiana di Fisica).
3. Confidentiality: The Physicist shall treat all proprietary data, unpublished results, and internal documents of the buyer as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
4. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Rome, Italy area, government-mandated closures, or public-health emergencies.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In such event, the buyer shall pay for all services rendered up to the date of termination.
6. The Physicist shall comply with all applicable Italian labour, tax, and data-protection regulations (including GDPR as implemented in Italy) during the performance of services in Rome, Italy.
