2. Description of Procurement

This Purchase Order is issued by the Almaty State Research Institute of Nuclear Physics to formally procure the professional services of a qualified Physicist for a period of twelve (12) months, commencing 1 August 2025. The Physicist shall be engaged to conduct advanced research in particle physics, provide technical consultation on experimental apparatus calibration, and deliver peer-reviewed publications in collaboration with the institute's research teams. All services shall be rendered at the institute's primary laboratory facility located in Kazakhstan Almaty, with the option for up to fifteen (15) days of fieldwork at the Baikonur Cosmodrome research annex during the contract period.

4. Terms and Conditions

Scope of Engagement: The Physicist shall devote a minimum of forty (40) working hours per week to the duties outlined in this Purchase Order. All research activities, data analysis, and laboratory supervision shall be conducted at the designated facility in Kazakhstan Almaty unless otherwise authorized in writing by the Buyer's Procurement Director.
Intellectual Property: All research findings, experimental data, theoretical models, and publications generated by the Physicist during the term of this Purchase Order shall be the exclusive property of the Almaty State Research Institute of Nuclear Physics. The Physicist retains the right to be listed as a co-author on resulting publications.
Compliance with Kazakhstan Almaty Regulations: The Physicist shall comply with all applicable laws and regulations of the Republic of Kazakhstan, including but not limited to the Labor Code of the Republic of Kazakhstan, the Law on Scientific and Technical Activity, and all local ordinances governing research institutions in the Kazakhstan Almaty region. The Physicist shall maintain a valid individual entrepreneur registration throughout the contract period.
Payment Schedule: Payment for this Purchase Order shall be made in monthly installments within thirty (30) calendar days of the end of each service month. The Buyer shall process payments via bank transfer to the account designated by the Physicist. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under Kazakhstan commercial law.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Buyer, the Physicist shall be compensated for all services rendered up to the effective date of termination. Termination for cause (material breach, failure to meet research milestones) may be effected immediately upon written notice.
Confidentiality: The Physicist acknowledges that access to classified experimental data and proprietary research methodologies at the Kazakhstan Almaty facility is granted under strict confidentiality obligations. Any breach of confidentiality shall result in immediate termination of this Purchase Order and potential legal action under the Law of the Republic of Kazakhstan on Commercial Secrets.
Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation in good faith. Failing resolution within thirty (30) days, disputes shall be submitted to the Arbitration Court of the Kazakhstan Almaty City for binding arbitration in the Kazakh language.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Kazakhstan Almaty region.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Physicist services in Kazakhstan Almaty. This document constitutes a binding agreement under the civil and commercial law of the Republic of Kazakhstan.
