OF SERVICES — PHYSICIST ENGAGEMENTThis Purchase Order is issued by the East African Applied Sciences Institute to formally engage the services of a qualified Physicist for a period of twelve (12) months, commencing 1 July 2025 and concluding 30 June 2026. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya, including the Public Procurement and Asset Disposal Act (2015) and the Kenya Revenue Authority tax regulations applicable in Kenya Nairobi.
- Scope of Work: The Physicist shall perform all duties in accordance with the detailed Statement of Work (SOW) attached hereto as Annexure A. Any material deviation from the agreed scope requires a written amendment to this Purchase Order signed by both parties.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the account designated by the Physicist in Kenya Nairobi.
- Intellectual Property: All research findings, publications, patents, and proprietary knowledge generated during the term of this Purchase Order shall be jointly owned by the EAAI and the Physicist, subject to a separate IP agreement to be executed prior to commencement.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all data, methodologies, and institutional information encountered during the engagement in Kenya Nairobi. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Physicist shall be compensated for all services rendered up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Kenya Nairobi. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the rules of the Nairobi Centre for International Arbitration (NCIA).
- Compliance: The Physicist warrants that they hold all necessary professional registrations, insurance, and permits required to practice physics consultancy in Kenya Nairobi and shall maintain such throughout the contract period.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Kenya Nairobi, or pandemics, provided written notice is given within seven (7) days.
The Physicist shall report to the EAAI main campus located at Kenyatta Avenue, Westlands, Kenya Nairobi, on 1 July 2025 at 08:00 hours East Africa Time (EAT). The Physicist is expected to maintain a minimum of four (4) full working days per week on-site in Kenya Nairobi, with the remaining time allocated to remote research and writing activities. All in-person deliverables, presentations, and laboratory work shall be conducted at the Kenya Nairobi facility unless a site visit to another Kenyan location is mutually agreed upon.
6. AUTHORIZATION AND ACCEPTANCEThis Purchase Order constitutes a formal and binding request for the services described herein. By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this document. This Purchase Order is valid for acceptance within thirty (30) days of the date of issue.
