This Purchase Order is issued by Instituto de Investigaciones Científicas del Valle de México, S.A. de C.V. The Physicist engaged under this Purchase Order shall provide expert consultation in the fields of quantum mechanics, thermodynamics, and applied particle physics to support the Buyer's ongoing research program on advanced energy storage systems. The Physicist is expected to be present at the Mexico, Mexico City facility for a minimum of forty (40) hours per week during the contracted period, with the option for remote consultation from any location within Mexico, Mexico City metropolitan area as mutually agreed upon by both parties.

The Physicist shall commence services on July 1, 2025, and shall complete all deliverables no later than September 30, 2025. All on-site work shall take place at the Buyer's laboratory complex in Mexico, Mexico City, specifically at the address listed in Section 1. The Physicist shall submit a detailed work plan within five (5) business days of the effective date of this Purchase Order for approval by the Buyer's project management team.

• Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the mid-project milestone review, and 25% upon final acceptance of all deliverables.
• All payments shall be made via bank transfer to the Seller's designated account in Mexican Pesos (MXN) within fifteen (15) business days of invoice receipt.
• The Seller shall issue a fiscal invoice (factura) compliant with the Mexican SAT (Servicio de Administración Tributaria) regulations for each payment installment.
• Late payments shall accrue interest at the rate established by the Banco de México for the applicable period.

• This Purchase Order is governed by the Commercial Code of Mexico and applicable federal legislation in force in Mexico, Mexico City.
• The Physicist shall maintain all professional certifications, licenses, and insurance coverage required to perform scientific consulting services in the State of Mexico and the Mexico City jurisdiction throughout the duration of this engagement.
• All intellectual property generated by the Physicist in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer, unless otherwise agreed in writing.
• The Physicist shall adhere to all safety protocols, confidentiality agreements, and data protection standards (LFPDPPP) applicable in Mexico, Mexico City.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Physicist for all services rendered up to the effective date of termination.
• Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico, Mexico City, in accordance with the rules of the Mexican Chamber of Commerce (Cámara de Comercio de México).
• This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Physicist in Mexico, Mexico City. This document is executed in two (2) original copies, one for each party, both of which carry equal legal validity under Mexican law.
