Description of Purchase Order ScopeThis Purchase Order is issued by the Casablanca Institute of Advanced Physics Research to procure the professional services of a senior Physicist along with associated laboratory instrumentation and research materials. The engagement of the Physicist is required to lead a twelve-month research programme focused on quantum optics and photonics applications. All deliverables, services, and equipment under this Purchase Order shall be delivered to and performed at the Buyer's facility located in Morocco Casablanca, specifically at the address stated above. The Physicist shall be expected to work on-site in Morocco Casablanca for a minimum of four (4) days per week, with the remaining time allocated to remote analysis and reporting. This Purchase Order governs all terms, conditions, pricing, and obligations between the two parties for the duration of the stated contract period.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, specifically the Moroccan Commercial Code and applicable regulations of the Ministry of Industry and Trade. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Morocco Casablanca.
- Physicist Engagement Terms: The Physicist engaged under this Purchase Order shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment clause. All research findings, publications, patents, and data generated during the term of this Purchase Order while working at the Morocco Casablanca facility shall be the exclusive property of the Buyer. The Physicist shall comply with all institutional safety protocols and Moroccan labour regulations.
- Delivery & Acceptance: All equipment and materials listed in this Purchase Order shall be delivered to the Buyer's premises in Morocco Casablanca under DDP (Delivered Duty Paid) terms. The Buyer shall have ten (10) business days from the date of delivery to inspect and accept or reject each item. Rejected items must be replaced or refunded within fifteen (15) business days at the Seller's sole cost.
- Payment Schedule: Payment for the Physicist's monthly retainer (Line Item 1) shall be made on the 5th of each month in arrears. Equipment payments (Line Items 2–5) shall be made in two instalments: 50% upon signing of this Purchase Order and 50% upon successful installation and acceptance in Morocco Casablanca. All payments shall be made via bank transfer to the Seller's designated account in Moroccan Dirhams (MAD).
- Warranty & Support: The Seller warrants that all equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance. The Physicist's professional services are warranted to be performed in a competent, diligent, and professional manner consistent with the standards expected of a senior physicist in the field of quantum optics.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and equipment delivered up to the effective date of termination. The Physicist shall return all proprietary data, materials, and access credentials to the Morocco Casablanca facility within seven (7) days of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Morocco Casablanca or elsewhere.
- Compliance: The Seller and the Physicist shall comply with all applicable Moroccan laws, including but not limited to data protection regulations (Law 09-08), import/export controls, and occupational health and safety standards. All imported scientific equipment under this Purchase Order must be cleared through Moroccan customs at the Port of Casablanca or Mohammed V Airport.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Physicist services and laboratory equipment in Morocco Casablanca.
