- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993, as applicable to professional services engagements in Auckland, New Zealand.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Physicist. Invoices shall be submitted to the Buyer's accounts payable department at the Auckland address listed above. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Physicist.
- Commencement and Completion: The Physicist shall commence services no later than 1 July 2025. The total engagement period under this Purchase Order shall not exceed twelve (12) months from the commencement date, unless extended by mutual written agreement of both parties.
- Intellectual Property: All intellectual property, research findings, data, and documentation produced by the Physicist in the course of fulfilling this Purchase Order shall be the sole property of the Buyer, Te Whare Pūtaiao o Tāmaki Makaurau Ltd., unless otherwise agreed in a separate written addendum. The Physicist retains the right to reference the engagement in academic publications with prior written consent from the Buyer.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary information, experimental data, and trade secrets of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Physicist warrants that they hold a valid New Zealand professional registration and that all services rendered under this Purchase Order shall comply with the Health and Safety at Work Act 2015 (New Zealand) and all applicable Auckland Council bylaws regarding laboratory operations.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the date of termination, as itemised in a final invoice from the Physicist.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the New Zealand Dispute Resolution Service, with the venue set in Auckland, New Zealand.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters (including seismic events relevant to the Auckland region), government-imposed restrictions, or pandemics.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Physicist in New Zealand Auckland. This Purchase Order constitutes a binding agreement upon execution by both authorised representatives.
