This Purchase Order is issued by the Nigerian Institute of Applied Sciences and Engineering (NIASE), Nigeria Lagos, to engage the services of a qualified Physicist for the purpose of conducting advanced research, laboratory supervision, and technical consultancy as detailed below. - Scope of Work: The Physicist shall perform all duties and services as described in Section 3 of this Purchase Order. All work shall be conducted at the NIASE facility located in Nigeria Lagos, unless otherwise agreed in writing by both parties.
- Duration: This Purchase Order is valid for a period of six (6) months from the date of acceptance, commencing on 1 July 2025 and concluding on 31 December 2025, unless extended by mutual written agreement.
- Payment Terms: Payment shall be made in three (3) equal instalments: 40% upon commencement of services, 30% upon completion of the midpoint deliverables, and 30% upon final delivery and acceptance of all outputs. All payments shall be made via bank transfer to the account specified in Section 2.
- Intellectual Property: All research outputs, data, reports, and publications generated under this Purchase Order shall remain the exclusive property of NIASE, Nigeria Lagos. The Physicist shall not reproduce, distribute, or publish any proprietary data without prior written consent.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and trade secrets encountered during the course of this engagement in Nigeria Lagos.
- Compliance: The Physicist shall comply with all applicable laws and regulations of the Federal Republic of Nigeria, including but not limited to the National Health Act, the Standards Organisation of Nigeria (SON) guidelines, and the Nigerian Society of Physicists code of professional conduct.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with jurisdiction vested in the courts of Nigeria Lagos.
All deliverables under this Purchase Order shall be submitted to the Head of Research and Development, NIASE, Nigeria Lagos, in both digital (PDF and editable formats) and hard-copy form. Acceptance of deliverables shall be confirmed in writing within fourteen (14) business days of submission. Failure to provide written objection within this period shall constitute deemed acceptance.
This Purchase Order is issued and authorised by the undersigned on behalf of the Nigerian Institute of Applied Sciences and Engineering, Nigeria Lagos, and is accepted by the Physicist named herein.
