This Purchase Order is issued by Al-Riyadh Advanced Research & Development Co. (SARAD) to engage the services of a qualified Physicist for a period of six (6) months, commencing 1 July 2025 and concluding 31 December 2025. The Physicist shall be based at the SARAD research facility located in the Jeddah Industrial City, Saudi Arabia Jeddah, and shall provide the following professional services:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Civil Transactions Law and the regulations issued by the Saudi Standards, Metrology and Quality Organization (SASO).
- Place of Performance: All services under this Purchase Order shall be performed at the SARAD research and development facility, Jeddah Industrial City, Saudi Arabia Jeddah, unless otherwise agreed in writing by both parties.
- Qualification of the Physicist: The Physicist engaged under this Purchase Order must hold a minimum of a Doctorate (Ph.D.) in Physics or a closely related discipline from an accredited university, and must possess at least ten (10) years of post-doctoral research experience. The Physicist must maintain a valid professional practice license issued by the Saudi Ministry of Human Resources & Social Development throughout the duration of this engagement.
- Intellectual Property: All research outputs, data, models, reports, and inventions produced by the Physicist in the course of performing services under this Purchase Order shall be the sole property of SARAD. The Physicist shall execute any additional assignment documents reasonably required by SARAD.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and trade secrets of SARAD. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment: Payment shall be made in Saudi Riyal (SAR) via bank transfer to the account designated by the Physicist. Invoices shall be submitted at the end of each calendar month. Payment is due within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month in accordance with Saudi commercial law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Physicist, SARAD may terminate immediately upon written notice. Upon termination, the Physicist shall be compensated for all services rendered up to the effective date of termination.
- Health, Safety & Compliance: The Physicist shall comply with all occupational health and safety regulations applicable to research laboratories in Saudi Arabia Jeddah, including those issued by the Saudi Ministry of Environment, Water and Agriculture and the National Center for Preventive and Control of Infectious Diseases (NCPID).
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to the Saudi Center for Commercial Arbitration (SCCA) in Jeddah, Saudi Arabia.
This Purchase Order is valid upon signature by both parties. By signing below, the Vendor (Physicist) acknowledges receipt of this Purchase Order and agrees to perform the services described herein in full compliance with all stated terms and conditions.
