This Purchase Order is issued by Meridian Applied Sciences Pte. Ltd. (hereinafter referred to as the "Buyer") to engage the services of Dr. Elena Vasquez-Okafor, a qualified and certified Physicist (hereinafter referred to as the "Supplier"), for the provision of specialised physics consultancy, research oversight, and technical advisory services. All services rendered under this Purchase Order shall be performed within the jurisdiction of Singapore Singapore, in full compliance with the laws, regulations, and professional standards governing the practice of physics and scientific consultancy in Singapore Singapore.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore. All disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
2. Commencement and Duration: The Physicist shall commence services on 1 July 2025. The engagement period under this Purchase Order shall run for a period of six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement between the parties.
3. Payment Terms: Payment shall be made in three (3) equal instalments of SGD 50,285.33 each, due on the 15th of July 2025, 15th of October 2025, and 15th of January 2026 respectively. All payments shall be made via bank transfer to the account designated by the Physicist and registered in Singapore Singapore. Late payments shall attract interest at 2% per month as stipulated under the Late Payment of Interest Act (Singapore Singapore).
4. Intellectual Property: All intellectual property, research findings, data sets, and documentation produced by the Physicist in the course of fulfilling this Purchase Order shall vest exclusively in the Buyer. The Physicist shall execute all necessary assignment documents upon request. The Physicist retains the right to publish general academic findings, subject to a 90-day prior written notice to the Buyer.
5. Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary information, trade secrets, and experimental data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Breach of confidentiality shall be subject to injunctive relief and liquidated damages as specified in the separate Non-Disclosure Agreement executed concurrently with this Purchase Order.
6. Compliance and Professional Standards: The Physicist shall comply with all applicable professional codes of conduct, safety regulations, and laboratory protocols in force in Singapore Singapore. The Physicist warrants that they hold a valid professional registration and that all qualifications listed in this Purchase Order are current and in good standing.
7. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Physicist shall return all Buyer property, data, and materials within seven (7) days of termination.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics, provided that the affected party notifies the other within 48 hours.
9. Insurance: The Physicist shall maintain professional indemnity insurance with a minimum coverage of SGD 1,000,000, valid throughout the term of this Purchase Order, with the Buyer named as an additional insured party.
10. Entire Agreement: This Purchase Order, together with the attached Non-Disclosure Agreement and Statement of Work, constitutes the entire agreement between the parties with respect to the engagement of the Physicist and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. The Buyer confirms that the Physicist has been vetted and approved for engagement, and the Physicist confirms acceptance of the scope, rates, and deliverables specified herein.
