1. - Payment shall be made in Korean Won (KRW) via bank transfer to the account designated by the Physicist in writing.
- An initial payment of 30% (KRW 6,465,000) is due upon acceptance of this Purchase Order and execution of the service agreement.
- A second installment of 40% (KRW 8,620,000) is due upon completion of Line Items 01 and 02, subject to Buyer's written acceptance of deliverables.
- The final payment of 30% (KRW 6,465,000) is due within 15 business days of full completion of all services outlined in this Purchase Order.
- All payments are subject to applicable Korean tax regulations, including Value Added Tax (VAT) at the prevailing rate in South Korea Seoul.
- This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in South Korea Seoul in accordance with the rules of the Korean Commercial Arbitration Board.
- The Physicist warrants that all services rendered under this Purchase Order shall be performed with the highest degree of professional competence, scientific rigor, and adherence to ethical standards recognized by the Korean Physical Society.
- All intellectual property, research data, and documentation produced as a direct result of services performed under this Purchase Order shall remain the sole property of the Buyer, unless otherwise agreed in a separate written addendum.
- The Physicist shall comply with all applicable safety regulations, laboratory protocols, and institutional policies in effect at the Buyer's facilities in South Korea Seoul at the time of service delivery.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Buyer shall compensate the Physicist for all services rendered up to the date of termination, less any applicable deductions.
- Confidentiality obligations under this Purchase Order shall survive termination for a period of five (5) years.
- The Physicist shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of this Purchase Order.
