1. Scope of Engagement: This Purchase Order authorizes the engagement of the named Physicist, Dr. Elena María Castellanos Vega, to perform the services described herein at the designated research facility in Spain Madrid. The Physicist shall adhere to all applicable Spanish labor regulations, data protection laws (RGPD/AVPIL), and institutional safety protocols throughout the duration of this contract.
2. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (ES-MAD-2025-04871) and include the Physicist's NIF. Payment will be processed via bank transfer to the account designated by the service provider. Late payments shall accrue interest at the rate established by Spanish commercial law (Ley 3/2004).
3. Intellectual Property: All research outputs, data sets, and technical documentation produced by the Physicist under this Purchase Order shall be the exclusive property of Grupo Científico Ibérico, S.L., unless otherwise agreed in a separate written addendum. The Physicist retains the right to publish findings in peer-reviewed journals subject to a ninety (90) day prior review period by the contracting entity.
4. Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental parameters, and unpublished data encountered during work in Spain Madrid. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Cancellation and Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Physicist shall be compensated for all services rendered up to the date of termination, plus a cancellation fee of 10% of the remaining contract value.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be resolved by the competent courts of Madrid, Spain Madrid jurisdiction.
7. Insurance and Liability: The Physicist shall maintain professional liability insurance with a minimum coverage of €1,000,000, valid throughout the engagement period in Spain Madrid. Proof of insurance shall be provided prior to commencing on-site work.
