This Purchase Order is issued by the Valencia Scientific Research Institute to formally request the engagement of a qualified Physicist to provide specialized research and consultancy services at our primary laboratory facility located in Spain Valencia. - 4.1 This Purchase Order constitutes a binding agreement between the Valencia Scientific Research Institute and Quantum Talent Solutions S.L. upon signature by both authorized representatives. All services described herein shall be rendered in accordance with the applicable labor and employment legislation of the Kingdom of Spain, specifically within the autonomous community of Valencia.
- 4.2 The Physicist engaged under this Purchase Order must hold a minimum of a Doctorate (Ph.D.) in Physics or a closely related discipline, with a minimum of five years of post-doctoral research experience. The candidate must demonstrate proficiency in quantum optics, laser spectroscopy, and computational modeling of condensed matter systems.
- 4.3 All work shall be performed at the VSRI laboratory premises in Spain Valencia, specifically at Carrer de la Ciència, 42, 46003. The Physicist is expected to be present on-site a minimum of five (5) days per week, with remote work permitted only for administrative tasks and subject to prior written approval by the Department Head.
- 4.4 Payment shall be made in monthly installments via bank transfer to the account specified by the vendor. Invoices must be submitted by the 5th business day of each month for the preceding month's services. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall incur interest at the rate established by Spanish commercial law (Ley de Morosidad).
- 4.5 The vendor shall ensure that the Physicist is fully registered with the Spanish Social Security system (Seguridad Social) and that all applicable employer contributions, including those specific to the Valencia region, are paid in full and on time. The vendor bears sole responsibility for any penalties arising from non-compliance with Spanish labor regulations.
- 4.6 Intellectual property generated by the Physicist during the term of this Purchase Order while working at the Spain Valencia facility shall be the exclusive property of the Valencia Scientific Research Institute, in accordance with Spanish intellectual property law (Ley de Propiedad Intelectual, Real Decreto Legislativo 1/1996).
- 4.7 Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination for cause, the notice period shall be reduced to fifteen (15) days. Upon termination, all laboratory access, data, and materials must be returned to VSRI within five (5) business days.
- 4.8 This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from or in connection with this document shall be resolved by the competent courts of Valencia, Spain, unless both parties agree in writing to alternative dispute resolution through arbitration under the rules of the Valencia Chamber of Commerce.
- 4.9 The vendor warrants that the Physicist shall comply with all health and safety regulations applicable to research laboratories in Spain Valencia, including those issued by the Generalitat Valenciana and the Spanish Ministry of Science, Innovation and Universities.
- 4.10 This Purchase Order may not be assigned or subcontracted without the prior written consent of the Valencia Scientific Research Institute. Any modification to the scope, duration, or compensation outlined herein must be documented in a formal amendment signed by both parties.
The Physicist shall report to the VSRI facility in Spain Valencia no later than 08:00 hours on 1 September 2025. A welcome orientation covering laboratory safety protocols, institutional policies, and an introduction to the ongoing research projects will be conducted on the first day. The vendor is responsible for coordinating the Physicist's arrival, including visa or work permit assistance if the candidate is a non-EU national, and ensuring all onboarding documentation is completed prior to the commencement date specified in this Purchase Order.
