1. Description of Purchase OrderThis Purchase Order is issued by the Colombo Advanced Research & Innovation Institute (CARII) to formally engage the services of a qualified Physicist for a period of twelve (12) months. The engagement is to be carried out at the institute's primary research facility located in Sri Lanka Colombo. This Purchase Order constitutes a binding agreement between the parties and governs all terms, conditions, deliverables, and financial obligations related to the professional services of the Physicist as outlined herein.
2. Scope of Services – Physicist EngagementThe Physicist engaged under this Purchase Order shall provide the following professional services at the CARII facility in Sri Lanka Colombo:

- Validity of Purchase Order: This Purchase Order shall remain valid for a period of thirty (30) calendar days from the date of issue. The Physicist must provide written acceptance of this Purchase Order within the stipulated period to confirm the engagement in Sri Lanka Colombo.
- Commencement Date: The services of the Physicist shall commence on 01 July 2025 and shall continue until 30 June 2026, unless terminated earlier in accordance with the provisions of this Purchase Order.
- Payment Terms: Payment shall be made on a monthly basis within fifteen (15) working days of receipt of a valid invoice from the Physicist. All payments shall be processed through the CARII accounts department in Sri Lanka Colombo via bank transfer to the account designated by the Physicist.
- Work Location: All services under this Purchase Order shall be performed at the CARII research facility, 42 Galle Road, Sri Lanka Colombo, or at such other location within Sri Lanka Colombo as mutually agreed upon in writing by both parties.
- Intellectual Property: All research findings, publications, patents, and intellectual property generated by the Physicist during the term of this Purchase Order shall be jointly owned by CARII and the Physicist, with CARII retaining primary rights for institutional use in Sri Lanka Colombo.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary data, experimental methodologies, and unpublished research materials encountered during the engagement in Sri Lanka Colombo. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this Purchase Order shall be resolved through arbitration in Sri Lanka Colombo in accordance with the Arbitration Act of Sri Lanka.
- Compliance: The Physicist shall comply with all applicable regulations of the Sri Lanka Standards Institution, the Ministry of Science & Technology, and all local bylaws pertaining to research activities in Sri Lanka Colombo.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Sri Lanka Colombo.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Physicist in Sri Lanka Colombo.
