- This Purchase Order constitutes a binding agreement between Helvetia Advanced Research Institute AG (hereinafter "the Buyer") and Marchetti Scientific Consulting GmbH, represented by the Physicist Dr. Elena Marchetti (hereinafter "the Vendor"), for the provision of specialized physics consultancy services in Switzerland Zurich.
- The Physicist shall perform all duties in accordance with the professional standards established by the Swiss Society of Physics and in compliance with all applicable federal and cantonal regulations governing scientific research in Switzerland Zurich.
- All intellectual property, data, and findings generated by the Physicist during the execution of this Purchase Order shall remain the exclusive property of the Buyer, unless otherwise agreed in a separate written addendum.
- Payment shall be made via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the rate of 5% per annum as stipulated under Swiss Code of Obligations (OR Art. 104).
- The Physicist is required to maintain professional liability insurance with a minimum coverage of CHF 5,000,000, valid throughout the duration of this Purchase Order and within the jurisdiction of Switzerland Zurich.
- Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of early termination, the Buyer shall compensate the Physicist for all services rendered up to the effective date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts in Switzerland Zurich.
- The Physicist agrees to comply with all data protection requirements under the Swiss Federal Act on Data Protection (FADP) and to handle all sensitive research data with the highest degree of confidentiality.
