• Validity: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
• Performance Period: The Physicist services described herein shall commence on 1 August 2025 and shall be completed no later than 31 July 2026, unless otherwise extended by mutual written agreement between the parties.
• Location of Work: All services under this Purchase Order shall be performed at the Bosphorus Advanced Research Institute facilities located in Turkey Istanbul, specifically at the Maslak and Levent campuses. The Physicist is expected to be physically present in Turkey Istanbul for a minimum of five (5) working days per week.
• Qualifications: The Physicist engaged under this Purchase Order must hold a minimum of a Doctorate (Ph.D.) in Physics or a closely related field from an accredited university. The Physicist must demonstrate a minimum of ten (10) years of post-doctoral research experience and must be fluent in both Turkish and English to facilitate communication within the Turkey Istanbul research community.
• Payment Terms: Payment shall be made in quarterly installments via bank transfer to the account designated by the Service Provider. The first installment of 25% shall be due upon confirmation of the Physicist's onboarding in Turkey Istanbul. Subsequent installments of 25% each shall be due at the end of each calendar quarter. Payment is due within thirty (30) days of invoice receipt.
• Tax and Regulatory Compliance: All payments under this Purchase Order are subject to applicable Turkish tax regulations, including Value Added Tax (KDV) at the prevailing rate. The Service Provider is responsible for all social security contributions, income tax withholdings, and labor law obligations pertaining to the Physicist in accordance with the Turkish Labor Law (Law No. 4857) and the Turkish Tax Procedure Law.
• Intellectual Property: All research findings, data, models, publications, and intellectual property developed by the Physicist during the term of this Purchase Order shall be the exclusive property of Bosphorus Advanced Research Institute. The Physicist shall sign a non-disclosure agreement (NDA) and intellectual property assignment document prior to commencing work in Turkey Istanbul.
• Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Physicist shall complete all in-progress deliverables and submit a comprehensive handover report within thirty (30) days of the termination effective date.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Istanbul, Turkey.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Turkey Istanbul.
