This Purchase Order is issued by Kampala Advanced Research Institute (KARI), Uganda Kampala, to engage the services of a qualified Physicist for the purpose of conducting advanced research consultancy, laboratory calibration oversight, and technical advisory support. The Physicist shall provide the following deliverables as outlined below:

All prices are quoted in Ugandan Shillings (UGX) and are inclusive of the Physicist's professional fees, travel within Uganda Kampala, and standard materials. Any additional travel outside the Kampala metropolitan area shall be billed separately at cost with prior written approval from the Buyer.
- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Physicist. The Physicist shall sign and return a copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
- Commencement: The Physicist shall commence services no later than 1 July 2025 at the KARI facility located in Uganda Kampala. Any delay beyond this date without written justification from the Physicist shall result in a penalty of 0.5% of the total contract value per day of delay.
- Payment Terms: Payment shall be made in three (3) installments: 40% upon commencement of services, 40% upon delivery of the technical report and completion of both workshops, and 20% upon successful completion of the three-month emergency support period. All payments shall be made via bank transfer to the Physicist's designated account within fourteen (14) days of invoice submission.
- Intellectual Property: All research data, models, reports, and intellectual property generated by the Physicist during the course of this engagement shall be the sole property of Kampala Advanced Research Institute, Uganda Kampala, unless otherwise agreed in a separate written addendum.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, unpublished findings, and internal procedures of KARI. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Physicist shall comply with all applicable laws and regulations of the Republic of Uganda, including but not limited to the Uganda Revenue Authority tax obligations, the Uganda National Bureau of Standards (UNBS) requirements, and the Uganda Data Protection and Privacy Act, 2019.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Buyer without cause, the Physicist shall be compensated for all services rendered up to the date of termination. In the event of material breach by the Physicist, the Buyer may terminate immediately upon written notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from this Purchase Order shall be resolved through arbitration in Uganda Kampala in accordance with the Arbitration Act, 2000 of Uganda.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Uganda Kampala.
All services under this Purchase Order shall be performed at the Kampala Advanced Research Institute facility, Plot 14, Kampala Road, Uganda Kampala, or at such other location within Uganda Kampala as mutually agreed in writing by both parties. The Physicist is expected to be physically present at the designated site during all scheduled working hours unless remote consultation is explicitly approved by the Buyer's project lead.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order. This document, together with any attached schedules or addenda, forms the complete agreement between the Buyer and the Physicist regarding the services described herein.
