This Purchase Order is issued by Abu Dhabi Advanced Research & Innovation Centre (ADARIC) to formally engage the services of a qualified Physicist for the purpose of providing specialized scientific consultancy, research oversight, and technical advisory support to the Centre's ongoing quantum computing and materials science programmes. The Physicist shall deliver the following scope of professional services within the jurisdiction of United Arab Emirates Abu Dhabi:

1. This Purchase Order is governed by the laws of the United Arab Emirates and the specific regulations of Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Courts of Justice or, at the mutual agreement of both parties, through arbitration administered by the Abu Dhabi Global Market (ADGM) Arbitration Centre.
2. The Physicist shall maintain full professional liability insurance with a minimum coverage of AED 2,000,000 for the entire duration of the engagement. A certificate of insurance shall be submitted to ADARIC prior to the commencement of services.
3. All intellectual property, research findings, data, and documentation generated during the course of this engagement shall be the sole property of ADARIC. The Physicist shall sign a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Form as a condition of accepting this Purchase Order.
4. Payment shall be made via bank transfer to the account designated by Whitfield Quantum Advisory LLC within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract a penalty of 1.5% per month as stipulated under UAE commercial law.
5. The Physicist shall comply with all applicable regulations of the Abu Dhabi Department of Economic Development, the Abu Dhabi Free Zone Authority (where applicable), and the UAE Federal Authority for Identity, Citizenship, Customs & Port Security regarding work permits and professional licensing.
6. ADARIC reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance benchmarks, or insolvency of the service provider. In such cases, payment shall be made only for services rendered up to the date of termination.
7. All services under this Purchase Order shall be performed exclusively within the emirate of Abu Dhabi, United Arab Emirates, unless prior written consent is obtained from ADARIC for remote or off-site work.
8. The Physicist shall adhere to the ADARIC Code of Conduct, health and safety protocols, and laboratory safety standards at all times while on the premises of the Abu Dhabi Science Park or any affiliated research facility.

Reporting: The Physicist shall submit a detailed monthly progress report to the Head of Procurement and the Chief Scientific Officer of ADARIC by the 5th business day of each subsequent month.

This Purchase Order constitutes a binding offer for the procurement of professional physicist services. Acceptance of this Purchase Order by the supplier shall be deemed upon written confirmation or commencement of services, whichever occurs first. This document, together with the attached Scope of Work and NDA, forms the complete agreement between the parties for the engagement described herein.
