- This Purchase Order constitutes a binding agreement between Al Noor Advanced Research & Development LLC (hereinafter "the Buyer") and the named Physicist service provider (hereinafter "the Vendor") for the provision of specialized physics research and consultancy services in United Arab Emirates Dubai.
- The Physicist shall maintain all necessary professional licenses, insurance coverage (minimum AED 2,000,000 professional indemnity), and visa status valid for the duration of this engagement within the United Arab Emirates Dubai emirate.
- All deliverables, intellectual property, and research data produced under this Purchase Order shall be the sole property of the Buyer, unless otherwise agreed in a separate written addendum. The Physicist retains the right to reference the work in academic publications with prior written consent.
- Payment shall be made via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at 1.5% per month in accordance with UAE commercial law.
- The Vendor shall comply with all applicable federal and emirate-level regulations of the United Arab Emirates, including but not limited to the UAE Labour Law, Dubai Municipality professional practice codes, and data protection requirements under the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).
- Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall compensate the Physicist for all services rendered up to the effective date of termination, less any outstanding deliverables.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Dubai under the rules of the Dubai International Arbitration Centre (DIAC), seated in United Arab Emirates Dubai. The governing law shall be the federal laws of the United Arab Emirates.
- The Physicist shall not subcontract any portion of the services described herein without prior written approval from the Buyer's Chief Technology Officer.
- This Purchase Order is subject to the UAE Value Added Tax (VAT) at the standard rate of 5%, as administered by the Federal Tax Authority of the United Arab Emirates.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary research data, experimental methodologies, and commercial information exchanged in connection with this engagement in United Arab Emirates Dubai.
