4.1 Scope of Engagement: This Purchase Order governs the full scope of professional services to be rendered by the Physicist, Dr. Eleanor Whitfield, to Meridian Applied Sciences Ltd. The Physicist shall perform all duties in accordance with the Royal Society of Chemistry (RSC) code of professional conduct and the Institute of Physics (IOP) ethical guidelines, both of which are standard in the United Kingdom Birmingham scientific community.

4.5 Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary information, trade secrets, and unpublished research data encountered during the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. All confidential materials shall be stored in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
4.6 Health, Safety, and Compliance: The Physicist shall comply with all applicable health and safety legislation in force in the United Kingdom, including the Health and Safety at Work etc. Act 1974 and the Management of Health and Safety at Work Regulations 1999. The Physicist shall complete all site-specific induction and safety training at the Birmingham, United Kingdom facility prior to commencing on-site work.
4.7 Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Physicist shall be compensated for all services rendered up to the effective date of termination.
4.8 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom, or alternatively, may be referred to arbitration under the rules of the London Court of International Arbitration (LCIA).
