This Purchase Order is issued by Meridian Applied Sciences Institute to formally engage the services of Dr. James A. Harrington, a qualified and experienced Physicist, for a period of twelve (12) months commencing 1 September 2025. The Physicist shall provide expert consultancy, research oversight, and technical advisory services to the Institute's Advanced Research and Development division, based at the Institute's principal laboratory facility in Westminster, London, United Kingdom.

The scope of work for this Physicist engagement includes, but is not limited to: (a) leading a team of no fewer than six (6) research associates in the development of novel quantum sensor prototypes; (b) conducting peer-reviewed analysis of experimental data pertaining to high-energy particle interactions; (c) preparing technical reports and white papers for submission to the Royal Society and relevant United Kingdom government research bodies; (d) attending and presenting findings at no fewer than four (4) international physics conferences per annum; and (e) providing weekly progress briefings to the Institute's Board of Directors at the London headquarters.

  1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
  2. Commencement and Duration: The Physicist engagement shall commence on 1 September 2025 and conclude on 31 August 2026, unless terminated earlier in accordance with Clause 7. The Physicist is expected to be physically present at the Institute's London facility a minimum of four (4) days per week.
  3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  4. Confidentiality and Data Protection: The Physicist shall comply with all obligations under the United Kingdom Data Protection Act 2018 and the UK GDPR. All research data, experimental results, and proprietary methodologies developed under this Purchase Order shall remain the exclusive intellectual property of Meridian Applied Sciences Institute.
  5. Insurance: The Physicist shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of this engagement, with certificates provided to the Institute prior to commencement.
  6. Health and Safety: The Physicist shall comply with all applicable United Kingdom health and safety regulations, including the Health and Safety at Work etc. Act 1974, and all site-specific safety protocols at the London laboratory facility.
  7. Termination: Either party may terminate this Purchase Order by providing ninety (90) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Physicist shall deliver all work-in-progress materials and data to the Institute within seven (7) business days.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or pandemics affecting operations in the United Kingdom.
  9. Anti-Bribery and Compliance: The Physicist warrants compliance with the UK Bribery Act 2010 and all applicable anti-corruption legislation. Any breach of this clause shall constitute grounds for immediate termination.

This Purchase Order constitutes a formal and binding offer for the services described herein. Acceptance by the Physicist shall be deemed upon signature below or upon commencement of services, whichever occurs first. This document is valid for acceptance until 14 July 2025.
