4.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Physicist upon full execution by both parties. All services described herein shall be performed in United States New York City or at such other locations as mutually agreed upon in writing.
4.2 The Physicist warrants that all work product, including models, reports, simulations, and technical documentation, shall be original and free from intellectual property infringement. All deliverables produced under this Purchase Order shall become the exclusive property of Manhattan Advanced Research Institute, LLC upon full payment.
4.3 Payment shall be remitted within thirty (30) calendar days of receipt of a valid invoice from the Physicist. Invoices must reference this Purchase Order number (PO-NYC-2025-04872) and shall be submitted electronically to the address specified in Section 1. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
4.4 The Physicist shall maintain all necessary professional licenses, certifications, and liability insurance coverage throughout the term of this Purchase Order. A certificate of insurance naming the Purchasing Entity as an additional insured shall be provided prior to commencement of services.
4.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, and all work in progress shall be delivered to the Purchasing Entity.
4.6 This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States New York City in accordance with the rules of the American Arbitration Association.
4.7 The Physicist agrees to comply with all applicable federal, state, and local regulations in United States New York City, including but not limited to data protection statutes, laboratory safety standards, and professional conduct guidelines established by the New York State Education Department.
4.8 No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
5. Delivery and AcceptanceAll deliverables under this Purchase Order shall be submitted to the Purchasing Entity's office at 245 Park Avenue South, United States New York City, NY 10003, or via secure electronic transmission as directed. The Purchasing Entity shall have fifteen (15) business days to review and accept each deliverable. Failure to issue written notice of rejection within this period shall constitute acceptance.
