This Purchase Order is issued by Corporación Científica del Caribe, C.A. (hereinafter referred to as the "Buyer") to engage the services of a qualified Physicist for the purpose of conducting advanced research, technical consulting, and laboratory oversight in support of the Buyer's applied physics division. The Physicist shall perform all duties in accordance with the scientific and regulatory standards established in Venezuela Caracas and the broader national framework governed by the Ministry of Popular Power for Science, Technology and Innovation (MPCITI) of the Bolivarian Republic of Venezuela.
The engagement of this Physicist is specifically required to support the Buyer's ongoing project "Proyecto Andes-Quantum," a multi-year research initiative focused on quantum sensor development for geological survey applications in the Andean region of Venezuela Caracas and surrounding states. The Physicist shall be responsible for theoretical modeling, experimental design, data analysis, peer review of technical documentation, and direct supervision of junior research staff at the Buyer's laboratory facility located in the Los Palos Grandes district of Venezuela Caracas.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Commercial Code of the Bolivarian Republic of Venezuela and all applicable national regulations pertaining to scientific research and professional services in Venezuela Caracas.
- Payment: Payment shall be made in US Dollars (USD) via bank transfer to the account specified in Section 1. Invoices shall be submitted monthly within 5 business days of the end of each calendar month. Payment is due within 30 days of invoice receipt. Late payments shall accrue interest at the rate established by the Central Bank of Venezuela (BCV) for the applicable period.
- Intellectual Property: All research outputs, data, models, and documentation produced by the Physicist under this Purchase Order shall be the exclusive property of the Buyer, subject to the Physicist's right to be credited as author in any resulting publications. The Physicist shall not disclose proprietary information to third parties without prior written consent.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all project data, methodologies, and findings. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Physicist shall comply with all applicable laws and regulations of the Bolivarian Republic of Venezuela, including but not limited to labor laws, tax obligations, and scientific research permits. All work shall be conducted at the Buyer's facility in Venezuela Caracas unless a remote work arrangement is mutually agreed upon in writing.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall compensate the Physicist for all services rendered up to the effective date of termination, less any applicable deductions.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Venezuela Caracas.
- Entire Agreement: This Purchase Order, together with any attached exhibits and the original contract of engagement, constitutes the entire agreement between the parties regarding the engagement of the Physicist for the services described herein.
This Purchase Order is issued and authorized by the undersigned on behalf of Corporación Científica del Caribe, C.A., and constitutes a binding commitment to engage the services of the named Physicist for the duration and scope described herein. The Physicist is requested to confirm acceptance of this Purchase Order by signing below and returning a copy to the Buyer's procurement department within ten (10) business days of the issue date.
