This Purchase Order formally authorizes the procurement of professional Physiotherapist services to be delivered within the administrative boundaries of Belgium Brussels. The Physiotherapist engaged under this Purchase Order must hold a valid professional license issued by the competent authority in Belgium Brussels and maintain current professional liability insurance with a minimum coverage of €1,000,000 per incident.

4. SCOPE OF PHYSIOTHERAPIST SERVICES IN BELGIUM BRUSSELS

The Physiotherapist(s) engaged under this Purchase Order shall perform the following duties across all designated locations within Belgium Brussels:

  • Conduct initial patient assessments, develop individualized treatment plans, and document all clinical findings in the electronic health record system mandated by the Belgian Brussels healthcare authority.
  • Deliver hands-on manual therapy, therapeutic exercise programs, electrotherapy, hydrotherapy, and modalities as clinically indicated for each patient cohort.
  • Provide post-operative rehabilitation support in coordination with surgical teams at the Belgium Brussels partner hospitals.
  • Participate in multidisciplinary case conferences held weekly at the Brussels Metropolitan Health Consortium headquarters in Belgium Brussels.
  • Maintain compliance with all data protection obligations under the Belgian Data Protection Act and the EU General Data Protection Regulation (GDPR) as applicable in Belgium Brussels.
  • Submit monthly activity reports, patient outcome metrics, and utilization statistics to the Buyer's procurement and clinical governance departments.
  • Attend mandatory continuing professional development (CPD) sessions as required by the Belgian Physiotherapy Council, with a minimum of 30 CPD hours per annum.
5. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium, with jurisdiction vested in the competent courts of Belgium Brussels.
  2. Service Period: The Physiotherapist services shall commence on 1 July 2025 and continue for a period of thirteen (13) months, concluding on 31 July 2026, unless extended by mutual written agreement.
  3. Payment: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice bearing the Purchase Order number PO-BRU-2025-04782. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 April 1999 on late payment in commercial transactions.
  4. Performance Standards: The Physiotherapist shall maintain a patient satisfaction score of no less than 85% as measured by quarterly surveys administered by the Buyer. Failure to meet this threshold for two consecutive quarters shall constitute grounds for review under this Purchase Order.
  5. Insurance: The Supplier shall maintain professional indemnity insurance and public liability insurance throughout the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of services in Belgium Brussels.
  6. Confidentiality: All patient data, clinical records, and proprietary treatment protocols accessed by the Physiotherapist in the course of this engagement shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the Buyer, in full compliance with Belgian medical confidentiality law.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Termination shall not affect accrued payment obligations.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Belgium Brussels region.
  9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the commercial court of Belgium Brussels for adjudication.
