Terms and Conditions
- Scope of Services: The Physiotherapist professionals engaged under this Purchase Order shall provide all clinical physiotherapy services in full compliance with the Brazilian Federal Council of Physiotherapy and Occupational Therapy (CREFITO-DF) regulations and the applicable legislation of the Federal District of Brazil Brasília.
- Delivery and Installation: All clinical equipment and facility installations listed in this Purchase Order shall be delivered, installed, and commissioned at the buyer's premises located in Brazil Brasília, Federal District, no later than 01 August 2025. The vendor shall bear all transportation costs within the Brasília metropolitan area.
- Payment Schedule: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon delivery and installation of all equipment, and 20% upon successful completion of the 30-day warranty and acceptance period. Professional services fees for the Physiotherapist shall be invoiced monthly in arrears.
- Warranty: All equipment shall carry a minimum 24-month manufacturer warranty. The Physiotherapist professional services are subject to a 30-day performance guarantee, during which the buyer may request replacement of personnel if service standards are not met.
- Compliance: The vendor warrants that all Physiotherapist personnel assigned to this contract hold valid CREFITO-DF registration, appropriate academic credentials (Bachelor's or Master's degree in Physiotherapy from a recognized Brazilian institution), and current professional liability insurance.
- Confidentiality: All patient data handled by the Physiotherapist team shall be protected in accordance with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018) and the applicable health data regulations in Brazil Brasília.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall pay for all services rendered and equipment delivered up to the termination date.
- Governing Law: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília, Federal District.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Brazil Brasília.
