1. Description of Purchase

This Purchase Order is issued by Capital Health & Rehabilitation Centre, a registered medical facility operating in China Beijing, to formally request and authorize the procurement of professional Physiotherapist services, associated clinical equipment, and ongoing operational support. The purpose of this Purchase Order is to secure a comprehensive package of physiotherapy services that will be delivered at our primary clinic located in the Chaoyang District of China Beijing, ensuring that our patients receive world-class rehabilitation care from a qualified and certified Physiotherapist.

3. Delivery and Service Commencement

The Physiotherapist services described in this Purchase Order shall commence no later than 1 August 2025. All physical equipment items listed above must be delivered, installed, and calibrated at the buyer's premises in China Beijing within fourteen (14) calendar days of the date of this Purchase Order. The assigned Physiotherapist must present valid professional licensure issued by the relevant health authority in China Beijing prior to commencing any patient-facing duties. Failure to meet these timelines will result in a penalty of 0.5% of the total Purchase Order value per day of delay, as stipulated in the master service agreement between the parties.

4. Payment Terms
  • Payment Schedule: 40% advance payment upon acceptance of this Purchase Order; 35% upon successful delivery and installation of all equipment at the China Beijing site; 25% upon completion of the first full quarter of Physiotherapist service delivery.
  • Payment Method: Bank transfer to the supplier's designated corporate account. All transactions shall be conducted in Chinese Yuan (CNY) in accordance with the foreign exchange regulations applicable in China Beijing.
  • Payment Due Date: Each installment is due within thirty (30) days of the corresponding invoice date. Late payments shall accrue interest at a rate of 1.5% per month.
  • Tax and Duties: All applicable value-added tax (VAT) and local levies as mandated by the tax authorities in China Beijing are included in the prices stated in this Purchase Order.
5. Terms and Conditions
  • The Physiotherapist engaged under this Purchase Order must hold a minimum of five (5) years of post-qualification clinical experience and must be registered with the Beijing Municipal Health Commission. All professional indemnity insurance must be maintained throughout the contract period.
  • The supplier warrants that all equipment delivered under this Purchase Order shall be new, unused, and compliant with the national medical device standards enforced in China Beijing. A minimum two-year manufacturer warranty is required on all capital equipment.
  • Confidentiality: All patient data handled by the Physiotherapist at the China Beijing facility is subject to the Personal Information Protection Law of the People's Republic of China. The supplier and its personnel shall sign a non-disclosure agreement prior to service commencement.
  • Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the buyer shall pay for all services rendered and equipment delivered up to the termination date. The Physiotherapist shall be required to complete all ongoing patient treatment plans or provide a structured handover to a replacement practitioner.
  • Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in China Beijing before proceeding to arbitration under the rules of the Beijing Arbitration Commission.
  • Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in China Beijing.
6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Physiotherapist services and related equipment at the designated facility in China Beijing. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
