This Purchase Order is issued to formally engage a qualified Physiotherapist to deliver comprehensive rehabilitation and physiotherapy services at the Buyer's facilities located in China Shanghai.   1. Qualification & Licensure: The Physiotherapist shall hold a valid, current Physiotherapist practising licence issued by the Shanghai Municipal Health Commission and shall maintain all required continuing professional development (CPD) credits as mandated by the Chinese Medical Association. The Physiotherapist must present a copy of the licence and proof of malpractice insurance (minimum coverage of ¥ 5,000,000) prior to the commencement date specified in this Purchase Order.
  2. Place of Service: All services under this Purchase Order shall be performed exclusively at the Buyer's registered facilities in China Shanghai, unless prior written consent is obtained for off-site corporate engagements within the Shanghai metropolitan area.
  3. Payment Terms: Invoices shall be submitted on the last working day of each calendar month. Payment shall be made via bank transfer to the Physiotherapist's designated account within fifteen (15) business days of invoice receipt. Late payments shall accrue interest at the rate of 0.05% per day as stipulated under the Civil Code of the People's Republic of China.
  4. Tax & Compliance: The Physiotherapist shall be responsible for all personal income tax obligations in accordance with the Individual Income Tax Law of the PRC. The Buyer shall withhold applicable taxes at source as required by Chinese tax law. All services shall comply with the regulations of the National Health Commission of China Shanghai.
  5. Confidentiality & Patient Data: The Physiotherapist shall adhere strictly to the Personal Information Protection Law (PIPL) of the PRC and all data-handling protocols of the Buyer. Patient records generated in China Shanghai shall be stored on the Buyer's encrypted, on-premise servers and shall not be transferred outside the People's Republic of China without explicit written authorisation.
  6. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the Shanghai International Arbitration Centre (SHIAC) in China Shanghai for binding arbitration under its rules.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated public health restrictions in China Shanghai, or acts of war, provided that the affected party notifies the other within five (5) business days.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order. This document constitutes a binding agreement for the engagement of the Physiotherapist in China Shanghai for the duration stated herein.

Note: This Purchase Order is subject to final approval by the Buyer's Board of Directors and the Shanghai Municipal Health Commission's oversight division. The Physiotherapist's engagement shall not commence until all regulatory clearances specific to China Shanghai have been confirmed in writing.
