- This Purchase Order constitutes a binding agreement between Clinique Médicale de la Presqu’’êle SAS (hereinafter “the Buyer”) and Dr. Émile Vasseur, DPT (hereinafter “the Physiotherapist” or “the Service Provider”) for the provision of professional physiotherapy services within the France Lyon metropolitan area.
- The Physiotherapist shall hold a valid French «Diplôme d’État de Kinésithérapeute” (DE-KIN) and maintain active registration with the Ordre des Médecins and the relevant France Lyon regional health authority (ARS Auvergne-Rhône-Alpes) throughout the entire contract period.
- All Physiotherapist services shall be delivered in accordance with the French Public Health Code (Code de la santé publique), the Régional Health Programme (PRS) for the France Lyon region, and the applicable conventions collectives de travail for healthcare professionals in France.
- The Physiotherapist shall maintain a minimum of €3,000,000 in professional liability insurance (assurance réponse civile professionnelle) with a French-licensed insurer, and shall provide a certificate of insurance upon request by the Buyer.
- Service delivery shall take place at the Buyer’s designated facilities in France Lyon, including the main clinic at 128 Boulevard de la Croix-Rousse and the three satellite locations. The Physiotherapist shall comply with all site-specific health and safety protocols, infection control procedures, and data protection requirements under the French GDPR implementation (RGPD).
- The Buyer reserves the right to audit the Physiotherapist’s clinical records, treatment plans, and patient outcome documentation on a quarterly basis to ensure compliance with the standards set forth in this Purchase Order and the France Lyon regional healthcare quality framework.
- Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.5% per calendar month, in accordance with French commercial law (Code de commerce, Article L441-10).
- Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Physiotherapist shall ensure a smooth transition of all ongoing patient care to a successor practitioner within the France Lyon network, and all patient records shall be transferred to the Buyer in a secure and compliant manner.
- This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France Lyon.
- All personal data processed under this Purchase Order shall be handled in strict compliance with the French Data Protection Act (Loi Informatique et Libertés) and the EU General Data Protection Regulation (GDPR). The Physiotherapist shall act as a data processor on behalf of the Buyer for all patient health information.
