Terms and Conditions of this Purchase Order

1. This Purchase Order is issued by Clinique Méditerranée de Rééducation, Marseille, France, and constitutes a binding request for the supply of Physiotherapist services, clinical equipment, and associated training as detailed in the line items above.
2. All Physiotherapist practitioners engaged under this Purchase Order must hold a valid French state-recognized diploma (Diplôme d'État de Masso-Kinésithérapeute) and be registered with the Ordre des Masseurs-Kinésithérapeutes de France. Proof of registration in the Marseille regional chapter must be provided prior to commencement of services.
3. Delivery of all physical goods listed in this Purchase Order shall be made to the premises of the buyer located at 128 Boulevard du Littoral, 13008 Marseille, France. The supplier is responsible for all transportation, insurance, and customs clearance within the France Marseille metropolitan area.
4. The supplier warrants that all equipment supplied under this Purchase Order complies with applicable French and European Union medical device regulations, including the Medical Devices Regulation (EU) 2017/745, and carries valid CE marking. The Physiotherapist clinical software must comply with French HDS (Hébergeur de Données de Santé) certification requirements.
5. Payment shall be made within 45 calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-FRM-2025-04871). Late payments shall accrue interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
6. Any modification to the scope, quantity, or delivery schedule of this Purchase Order must be agreed upon in writing by both parties. Verbal modifications regarding Physiotherapist staffing levels or equipment specifications are not binding.
7. In the event of non-conformity of any Physiotherapist service or equipment delivered under this Purchase Order, the buyer reserves the right to request rectification, replacement, or proportional price reduction within 30 days of written notice to the supplier in Marseille.
8. This Purchase Order is governed by the laws of France. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France.
9. The supplier shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of € 5,000,000 for all Physiotherapist activities conducted under this Purchase Order within the France Marseille region.
10. All personal data processed in connection with this Purchase Order shall be handled in strict accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés, as amended).
