All Physiotherapist professional services shall commence no later than 1 September 2025 at the buyer's premises located at 42 Avenue de la Grande Armée, 75017 Paris, France. All physical equipment and supplies listed in this Purchase Order must be delivered, installed, and made operational at the France Paris facility by 25 August 2025. The supplier, PhysioCare Paris SAS, shall ensure that all Physiotherapist personnel assigned under this Purchase Order hold valid professional licenses issued by the French Ministry of Health and are registered with the relevant professional order in France Paris. Delivery of all goods shall be made DAP (Delivered at Place) to the specified France Paris address in accordance with Incoterms 2020.
5. TERMS AND CONDITIONS- Payment Terms: Payment for this Purchase Order shall be made in three equal installments: 40% upon signature and acceptance of this Purchase Order, 35% upon confirmed commencement of Physiotherapist services and delivery of all equipment, and 25% upon successful completion of the 12-month service period. All payments shall be made via bank transfer (virement bancaire) to the supplier's designated account in France Paris. Payment is due within 30 days of invoice receipt.
- Physiotherapist Qualifications: The supplier guarantees that all Physiotherapist professionals engaged under this Purchase Order possess a minimum of a Diplôme d'État de Masseur-Kinésithérapeute (DEMK) and maintain active professional registration. The primary Physiotherapist must demonstrate a minimum of eight (8) years of post-qualification clinical experience in orthopedic, neurological, and sports rehabilitation. Failure to meet these qualifications constitutes grounds for immediate termination of this Purchase Order without penalty to the buyer.
- Service Location: All Physiotherapist clinical services shall be rendered exclusively at the buyer's facility in France Paris unless prior written authorization is granted by the buyer's medical director. The Physiotherapist shall comply with all local regulations governing physiotherapy practice in the Paris metropolitan area, including those set forth by the Agence Régionale de Santé Île-de-France (ARS IDF).
- Confidentiality and Data Protection: The Physiotherapist and all personnel associated with this Purchase Order shall adhere strictly to the French Data Protection Act (Loi Informatique et Libertés) and the EU General Data Protection Regulation (GDPR). All patient records, treatment plans, and clinical data generated during the provision of Physiotherapist services in France Paris shall remain the exclusive property of the buyer and shall not be disclosed to any third party without written consent.
- Warranty and Equipment: All physiotherapy equipment supplied under this Purchase Order carries a minimum two-year manufacturer's warranty. The supplier shall provide full technical support, maintenance, and replacement services for all equipment for the duration of the warranty period. Equipment must comply with all applicable French and European medical device regulations (MDR 2017/745).
- Termination: Either party may terminate this Purchase Order with a written notice of 60 days. In the event of termination, the buyer shall be liable only for services rendered and equipment delivered up to the date of termination. The Physiotherapist shall provide a full handover of all patient records and treatment documentation to the buyer upon termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of France Paris (Tribunal de Commerce de Paris).
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates affecting healthcare operations in France Paris, or acts of war.
