- Scope of Engagement: The Vendor shall deploy qualified and KPTA-registered Physiotherapist professionals at the designated India Bangalore locations as specified in the line items above. All Physiotherapist personnel must hold valid registration with the Karnataka Physiotherapy Association and maintain professional indemnity insurance of not less than INR 50,00,000 per individual.
- Service Commencement: The Physiotherapist services shall commence on 01 July 2025 and continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 8 of this Purchase Order.
- Payment Terms: Payment shall be made on a monthly basis within fifteen (15) days of receipt of a valid tax invoice from the Vendor. Payment shall be processed via NEFT/RTGS to the bank account specified by PhysioCare Pro Solutions LLP. All payments are subject to the terms outlined in this Purchase Order issued for India Bangalore operations.
- Compliance & Regulatory: The Vendor shall ensure that all Physiotherapist staff comply with the Physiotherapy Act, 1991, and all applicable regulations of the Government of Karnataka, India Bangalore municipal health authority, and the Ministry of Health and Family Welfare, Government of India. Any non-compliance shall render this Purchase Order voidable at the sole discretion of the Buyer.
- Performance Standards: Each Physiotherapist shall maintain a minimum patient satisfaction score of 4.2 out of 5.0 as measured by quarterly audits conducted by the Buyer's Quality Assurance team in India Bangalore. Failure to meet this standard for two consecutive quarters shall constitute a material breach of this Purchase Order.
- Confidentiality: All patient records, treatment plans, and corporate health data handled by the Physiotherapist team in India Bangalore shall be treated as strictly confidential. The Vendor shall execute a separate Non-Disclosure Agreement (NDA) prior to the commencement of services.
- Substitution of Personnel: The Vendor shall not substitute any Physiotherapist assigned under this Purchase Order without prior written approval from the Buyer. Any replacement must possess equivalent or superior qualifications and experience.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting India Bangalore.
