This Purchase Order is issued by Mumbai Wellness & Rehabilitation Centre Pvt. Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified and registered Physiotherapist, Dr. Ananya Deshmukh (hereinafter referred to as the "Physiotherapist" or "Supplier"), for the provision of professional physiotherapy and rehabilitation services at the Buyer's facility located in India Mumbai. This Purchase Order governs the scope, duration, compensation, and terms under which the Physiotherapist shall render clinical services to patients of the Buyer.

1. Scope of Engagement: The Physiotherapist shall provide all physiotherapy, rehabilitation, and therapeutic exercise services as outlined in this Purchase Order at the Buyer's premises located in India Mumbai. The Physiotherapist shall adhere to the clinical protocols, patient safety standards, and ethical guidelines prescribed by the Maharashtra Physiotherapy Council and the Indian Council of Medical Research (ICMR).
2. Duration: This Purchase Order is valid for a period of twelve (12) months commencing from 01 July 2025 to 30 June 2026. Any extension beyond this period shall require a written amendment to this Purchase Order signed by both parties.
3. Payment Terms: Payment shall be made on a monthly basis within fifteen (15) days of receipt of the Physiotherapist's duly signed invoice. Payment shall be processed via NEFT/RTGS to the bank account designated by the Physiotherapist. All amounts are quoted in Indian Rupees (INR) and are subject to applicable Goods and Services Tax (GST) as per the tax regulations of India Mumbai and the Central Board of Indirect Taxes and Customs (CBIC).
4. Qualification & Compliance: The Physiotherapist warrants that she holds a valid registration with the Maharashtra Physiotherapy Council and shall maintain all necessary professional indemnity insurance coverage throughout the term of this Purchase Order. The Physiotherapist shall comply with all data protection and patient confidentiality obligations under the Digital Personal Data Protection Act, 2023, applicable in India Mumbai.
5. Working Hours & Availability: The Physiotherapist shall be available at the Buyer's facility in India Mumbai from Monday to Saturday, 09:00 AM to 06:00 PM, with a one-hour lunch break. Weekend and emergency call-out shifts shall be compensated as per the rates specified in this Purchase Order.
6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of material breach, non-compliance with clinical standards, or loss of professional registration, the Buyer reserves the right to terminate this Purchase Order immediately upon written notice.
7. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Mumbai, and the language of arbitration shall be English.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the commercial and professional service regulations applicable in the state of Maharashtra and the city of India Mumbai.
9. Confidentiality: The Physiotherapist shall treat all patient records, clinical data, and proprietary operational information of the Buyer as strictly confidential. This obligation shall survive the termination or expiry of this Purchase Order for a period of three (3) years.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in India Mumbai, or public health emergencies, provided that the affected party notifies the other within forty-eight (48) hours.
