This Purchase Order is issued by Delhi Wellness & Rehabilitation Centre Pvt. Ltd. (hereinafter referred to as the "Buyer") to PhysioCare Professional Services LLP (hereinafter referred to as the "Supplier") for the procurement of qualified Physiotherapist professional services. The Buyer hereby authorizes the Supplier to deploy a certified and registered Physiotherapist to provide in-clinic and home-visit physiotherapy services at the Buyer's facility located in India New Delhi, as well as at designated patient residences within the National Capital Territory of Delhi.

The Physiotherapist engaged under this Purchase Order shall be a registered professional holding a valid license issued by the Indian Physiotherapy Council (IPC) and the State Council of Delhi. The Physiotherapist must possess a minimum of five (5) years of post-qualification clinical experience in orthopedic, neurological, and post-surgical rehabilitation. The Supplier guarantees that the Physiotherapist assigned to this Purchase Order shall not be simultaneously contracted to any competing rehabilitation facility within a five-kilometer radius of the Buyer's premises in India New Delhi.

4.1 Commencement: The Physiotherapist services under this Purchase Order shall commence on 01 July 2025 and continue for a period of twelve (12) months, subject to renewal by mutual written agreement.

4.2 Payment Terms: Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid tax invoice from the Supplier. All payments shall be processed via NEFT/RTGS to the Supplier's designated bank account in India New Delhi. Late payments shall attract interest at 1.5% per month as per the applicable provisions of the Indian Contract Act, 1872.

4.3 Physiotherapist Qualification Verification: The Supplier shall submit, prior to commencement, certified copies of the Physiotherapist's Bachelor of Physiotherapy (BPT) degree, IPC registration certificate, State Council of Delhi practice license, professional indemnity insurance policy (minimum coverage of ₹ 50,00,000), and a police clearance certificate. The Buyer reserves the right to verify all documents with the issuing authorities in India New Delhi.

4.4 Substitution Clause: In the event the assigned Physiotherapist is unable to perform duties for a period exceeding ten (10) consecutive working days due to illness, leave, or any other cause, the Supplier shall provide a replacement Physiotherapist of equivalent or superior qualification within five (5) working days. The replacement must also hold valid IPC registration and a minimum of five years' experience.

4.5 Confidentiality and Data Protection: The Physiotherapist shall adhere strictly to the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations and the Digital Personal Data Protection Act, 2023. All patient records, treatment plans, and clinical data generated in India New Delhi under this Purchase Order shall remain the exclusive property of the Buyer and shall not be disclosed to any third party without written consent.

4.6 Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In cases of material breach, non-compliance with IPC ethical guidelines, or failure to maintain required insurance, the Buyer may terminate this Purchase Order immediately upon written notice.

4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of a Physiotherapist in India New Delhi.

This Purchase Order is valid only for the procurement of Physiotherapist professional services as described herein and is applicable exclusively to operations within India New Delhi.
