This Purchase Order is issued by Clinica San Pietro di Roma S.r.l. (hereinafter referred to as the "Buyer") to Fisioterapia Avanzata Roma S.r.l. - Scope and Location: All Physiotherapist services procured under this Purchase Order shall be performed exclusively at the Buyer's clinical facility situated in Italy Rome (Via Appia Nuova 142, 00183 Roma). The Supplier shall ensure that all assigned Physiotherapist personnel hold valid professional registration with the Ordine dei Fisioterapisti and possess the requisite qualifications recognised under Italian Law No. 418/1997 and subsequent amendments.
- Delivery and Commencement: The Supplier shall deploy all Physiotherapist personnel to the Italy Rome site no later than 1 July 2025. A written confirmation of staff assignment, including CVs, professional certificates, and liability insurance documentation, must be submitted to the Buyer at least ten (10) business days prior to the commencement date.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer (bonifico bancario) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree No. 231/2002. All amounts are denominated in Euros (EUR) and are subject to the applicable Italian VAT rate of 22%.
- Quality and Compliance: The Supplier warrants that all Physiotherapist services shall comply with the standards set by the Italian Ministry of Health (Ministero della Salute), the Lazio Regional Health Authority (ASL Roma), and the relevant European Union directives on medical device safety and patient data protection (GDPR — Regulation (EU) 2016/679). The Buyer reserves the right to conduct periodic quality audits at the Italy Rome facility.
- Substitution and Replacement: Should any assigned Physiotherapist be unavailable due to illness, leave, or termination, the Supplier shall provide a qualified replacement within five (5) business days. The replacement must meet or exceed the qualifications specified in Section 2 of this Purchase Order and must be approved in writing by the Buyer's Clinical Director.
- Confidentiality and Data Protection: All Physiotherapist personnel engaged under this Purchase Order shall be bound by strict confidentiality obligations regarding patient records, clinical data, and proprietary treatment protocols. Data processing shall comply with Italian Legislative Decree No. 196/2003 (Codice della Privacy) as amended by the GDPR.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the aggrieved party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations for services already rendered at the Italy Rome facility.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or civil unrest affecting the Italy Rome metropolitan area.
