This Purchase Order is issued by the Osaka Metropolitan Health & Rehabilitation Center (hereinafter referred to as the "Buyer") to Kansai Physiotherapy & Allied Health Services Co., Ltd. (hereinafter referred to as the "Seller") for the procurement of qualified Physiotherapist professional services, associated clinical equipment, and ongoing operational support to be delivered within the Japan Osaka metropolitan area. All terms, conditions, and obligations set forth in this Purchase Order shall be governed by the commercial laws of Japan and the specific regulations applicable to healthcare service procurement in the Japan Osaka region.
The Buyer hereby requests and the Seller hereby agrees to supply the following Physiotherapist-related services and resources as detailed in this Purchase Order. The primary objective of this procurement is to ensure that a fully licensed and certified Physiotherapist is made available to the Buyer's facility in Japan Osaka to deliver evidence-based rehabilitation, therapeutic exercise, manual therapy, and patient education programs to the center's caseload of post-surgical, orthopedic, neurological, and geriatric patients.
The Physiotherapist engaged under this Purchase Order must hold a valid national license issued by the Japan Physiotherapy Association and must possess a minimum of five (5) years of clinical experience in a hospital or outpatient rehabilitation setting within Japan Osaka or an equivalent metropolitan healthcare environment. The Seller warrants that the Physiotherapist assigned to this Purchase Order shall comply with all professional conduct standards, confidentiality obligations, and patient safety protocols mandated by the Japan Osaka Board of Health and the Ministry of Health, Labour and Welfare.

The Seller shall ensure that the designated Physiotherapist is fully onboarded, credentialed, and commencing clinical duties at the Buyer's facility in Japan Osaka no later than 1 August 2025. All equipment and consumables listed in this Purchase Order shall be delivered to the Buyer's receiving dock at 2-1-3 Umeda, Kita-ku, Osaka, Japan Osaka, no later than 25 July 2025. The Seller is responsible for all freight, handling, and installation costs associated with the delivery of equipment to the Japan Osaka site. The Physiotherapist shall report to the Buyer's Director of Rehabilitation Services on the first day of engagement and shall complete a facility orientation covering the Japan Osaka center's electronic health record system, emergency protocols, and patient communication guidelines.
Payment for this Purchase Order shall be made in accordance with the following schedule: (a) a 30% advance payment of JPY 8,232,180 shall be due within fourteen (14) calendar days of the Buyer's written acceptance of this Purchase Order; (b) the remaining 70% balance of JPY 19,208,420 shall be paid in twelve (12) equal monthly installments of JPY 1,600,702, commencing on 1 September 2025 and concluding on 1 August 2026. All payments shall be remitted via bank transfer to the Seller's designated account in Japan Osaka. Late payments shall incur a penalty of 1.5% per month as stipulated under Japanese commercial law. The Buyer reserves the right to withhold any installment if the Physiotherapist's performance fails to meet the service level standards outlined in the attached Service Level Agreement (SLA) referenced by this Purchase Order.
6.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. Any amendments to this Purchase Order must be made in writing and countersigned by authorized representatives of both entities.
6.2 The Seller guarantees that the Physiotherapist engaged under this Purchase Order shall maintain all necessary professional licenses, certifications, and insurance coverage throughout the contract term. Failure to maintain such credentials shall constitute a material breach of this Purchase Order, entitling the Buyer to terminate the agreement with immediate effect and seek damages.
6.3 The Physiotherapist shall adhere to all data protection and patient privacy regulations applicable in Japan Osaka, including the Act on the Protection of Personal Information (APPI) and the specific guidelines issued by the Japan Osaka Medical Data Authority. All patient records generated during the course of Physiotherapist treatment shall be stored in the Buyer's secure electronic system and shall not be removed from the Japan Osaka facility premises.
6.4 The Seller shall provide a qualified replacement Physiotherapist within five (5) business days should the originally assigned Physiotherapist be unable to continue service due to illness, resignation, or other unforeseen circumstances. The replacement must meet or exceed the qualifications specified in Section 2 of this Purchase Order.
6.5 Disputes arising from this Purchase Order shall be resolved through mediation in Japan Osaka before any litigation is commenced. The courts of Osaka, Japan Osaka shall have exclusive jurisdiction over any legal proceedings.
6.6 This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of commencement, after which it may be renewed by mutual written agreement of both parties.
